<br />ASSIGNMENT OF LEASES AND RENTS
<br />THIS ASSIGNMENT, dated effective as of , 2001, by Robert M. Allen Family
<br />Limited Partnership, a Nebraska limited partnership, whose principal place of business is 1115 West
<br />2`d Street, P.O. Box 987, Hastings, NE 68902 -0987, (hereafter "Assignor"), to and for the benefit
<br />of Great Southern Life Insurance Company, a Texas corporation having an address of 300 West 11th
<br />Street, Kansas City, Missouri 64105 (hereinafter "Lender").
<br />SECTION 1
<br />1.0 DEFINITIONS. As used herein the following terms shall mean:
<br />1.1 "Guaranty" or "Guaranties" means any guaranty of payment, collection or
<br />performance by any person of the Leases or Rents (as both terms are defined below)
<br />and any obligations thereunder, and all amendments, extensions and modifications
<br />thereof.
<br />1.2 "Leases" means the entire lessor's or landlord's interest in and to any and all existing
<br />and future leases, rental agreements or tenancies, whether written or oral, now
<br />existing or hereafter coming into existence, covering or affecting any or all of the
<br />Premises (as defined below), and all extensions, renewals and modifications thereof,
<br />and shall include, but not be limited to, those leases set forth in Exhibit A, attached
<br />hereto and incorporated herein by reference.
<br />1.3 "Loan Documents" means this Assignment, Mortgage and Note (as defined below)
<br />and any and all other documents executed in connection with the foregoing, and all
<br />amendments, extensions and modifications thereof.
