<br /> FURTHER ASSURANGES; ATT�RNEY-IN-FACT. The following pro�isions relating t� fiurther assurances and
<br /> attorney-in-�act are a par�of th�s Deed o�Trust:
<br /> Further Assurances. At any time, and frvm time '�o time, upon request af Lender, Trustor will make, execu�e and
<br /> deli�er, or will cause�❑ be made, executed or defi�ered, �v Lender ar�o L�nder's designee, and when reques�ed �y
<br /> Lender, cause to be �iled, recorded, r�filed, or r�recorded, as the case may be, a� such times and in such flffiices
<br /> and p[aces as Lender may deem appropriate, any and all such mor�gages, deeds of trust, securi�y deeds, security
<br /> agreements, financing stat�ments, cantinuation statements, instruments a� �ur�her assuran�e, ee�ti#�ca�es, and
<br /> o�ther documents as may, in the sa[e opinivn a�F Lender, be necessary ❑r desira�le in order to effectuate, camplete,
<br /> perfect, continue, or pr�s�r�e �1} Trustor's obliga�ions unde� the Note, this Deed o� Trus�, and the Related
<br /> DvCuments, and ��� the liens and securi�y interests created by this Deed o�Trus� as fi�st and prio� iiens ❑n the
<br /> Praperty, whether now owned or hereafter acqu��ed by Trustor. Unless prohibited by law or Lender agrees tv the
<br /> cvntra�y in writing, Trustor shall reimburse Lender �or all costs and expenses incurred in connection with the
<br /> matt�rs referred tv in th�s paragraph.
<br /> A�tv�ney-in-Fact. �f Trustor�ails �a do any o��he things re�erred to in th� preceding paragraph, Lender may do so
<br /> �or and in �he name of Trus'�or and at Trust�r's expense. For such purposes, Trustor herehy irre�ocably appoints
<br /> Lender as Trustor`s attarney-in-fact for the purpose of making, executing, deli�ering, filing, recvrding, and doing a�1
<br /> o�her things as may be necessary or desirat�le, in Lender's sole vpinion, to accomplish the mat��rs referred to in
<br /> the preceding paragraph.
<br /> FULL PERF�RNlANCE. If Trustor pays a�! the �ndebtedness, inc[uding wi�hout fimitation al[ future ad�ances, when due,
<br /> and v�herwise per�arms aff the vbligations imposed upvn Trustor under this Deed of Trust, L�nder sha�� exe�ute and
<br /> deli�er to Trustee a request �or fulf recon�eyance and shall execute and deii�er to Trustar sui�ah[e statem�nts o�
<br /> ��rmination af any �inancing statem�nt on file e�id�ncing L�nder's security interes� in the Ren�s and the Personal
<br /> Praper�y. Any rec�n�eyance fee required by law shall be paid by Trus�or, if permitted by applicable law.
<br /> EVENTS �F DEFAULT. Each o��he fo��owing, at Lender's option, shall constitute an E�ent of Default under this Deed
<br /> o�Trust:
<br /> Payment Defaul�. Trustor fails to make any paymen�when due under th� Indeb�edness,
<br /> 4#her Defauits. Trustar fails to comply with or t� perform any other term, ob�igation, c��enant or ��nditivn
<br /> contained in this Deed of Trust or in any o� �he Related Documents or �a comp�y wi�h �r ta perform any term,
<br /> obligation, co�enant ar candition conta�ned in any ather agreem�nt between Lender and Trustor.
<br /> Cvmpliance Dsfault. Failure �❑ comp�y with any other term, obligation, �o�enan� or conditivn �ontained in �his
<br /> Deed o�Trust, the Note or�n any o�th� Rela�ed Da�uments.
<br /> De#ault on Other Payments. Failure o�Trustor w�th�n the time required hy this Deed of Trust to make any payment
<br /> for taxes ar insurance, or any other paymen�necessary�o pre�ent filing �f or fio effect discharge of any lien.
<br /> Default in Farror of Third Parties, Should Grantor default under any laan, extension af �redi�, security agreement,
<br /> purchase or sales agreement, ❑r any oth�r agreement, in fa�vr of any other creditor or person that may mate��ally
<br /> a��ect any of Grantor's property or Grantor's ability to repay the Indeb�edness ❑r Grant�r's abili�y t� per�orm
<br /> Gran�or's obligations under this Deed of Trust❑r any o�the Related Documents.
<br /> False Statements. Any warran�y, represen�a�tion vr statement made or furnished tv Lend�r by Trustor ❑r on
<br /> Trustor's behalf under this Deed af Trust ar the Re�ated Dv�uments is fals� o� misleading in any material respect,
<br /> ei�her now or at ths�ime made or furnished or b�comes false or misleading at any time thereafter,
<br /> Defecti�e Collateraliza�ivn. This Deed o� Trust ❑r any of fihe Related Docum�nts ceases �o be in fu�! fvrce and
<br /> effect �including failur� v� any collateral dvcument to create a �alid and per�ected se�ur�ty interest ar lien� a� any
<br /> time and for any reason.
<br /> Death or Insvl►►ency. The dissolu�ion af Trustor's �r�gardless of wheth�r ele��ian �o continue is made�, any
<br /> member withdraws from the limited lia�ili�y company, or any other termination of Trustor's existence as a going
<br /> business or the death o� any m�m�er, �he inso��ency of Trustvr, �he appointmen� of a recei�er f�r any part o�
<br /> Trustor's proper�y, any assignm�nt �ar th� benefi� of �reditors, any type of creditor work�ut, or the
<br /> commen�ement af any proceeding under any bankrup�cy or insal�ency laws by vr against Trus�or.
<br /> Greditor or Fvr�rei�ure Proceedings. Commencemen� of foreclasure ❑r for�eiture prviceedings, whether by judic�al
<br /> proceeding, self-help, repossessian or any ather me�hod, by any creditor o�Trustvr or by any gv�ernmental ag�ncy
<br /> agains� any property securing �he Indebt�dness. This includes a garn�shment o� any af Trustor�5 accaunfis,
<br /> inciuding deposit accounts, with Lender. Hawe�er, this E�ent of Defau�t shall not app�y if �here is a good faith
<br /> dispute by Trustor as to the validity or reas�na�leness of the claim which is the basis v�the cred��or vr forfeiture
<br /> proceeding and if Trustvr gi�es Lender writt�n no�i�e of �h� creditvr o� farfei�ure praceeding and depasits with
<br /> Lender manies ar a surety b�nd fiar the credita�or�orfeitur� proceeding, in an amount determined by Lender, in its
<br /> so�e dis�retian, as being an adequate reser�e ar band for the dispute.
<br /> Breach of❑ther Agreemen�. Any hrea�h by Trus�vr under the terms of any o�her agreement between Trustor and
<br /> Lender that is not remedied within any grace period pro��ded ther�in, including without limi�ation any agreement
<br /> concerning any indeb�kedness or other obligatian of Trustnr to Lender, whether existing now or later.
<br /> E�en�s ►4ffe�ting Guarantor. Any of the preceding e�ents occurs with respect to any Guarantar of any o� �he
<br /> �ndebtedness or any Guarantor dies or becomes incompeten�, or re�okes or disputes the �a�idity of, or liability
<br /> under, any Guaranty af the Indebtedness.
<br /> Ad�erse Change. A materia� ad�erse change o�curs in Trus�or's f�nancial conditian, or Lender belie��s the
<br /> p�ospect o�paym�nt or perf�rmance of th� Inde�tedness is impaired.
<br /> Inse�uri�y. Lender in good faith belie�es i�sel�insecure.
<br /> Right�a Cure. If any de�aul�, ath���han a defau�t in payment, is curable and i�Trustor has not heen gi��n a notice
<br /> o�a breach a�the same pro�isi�n❑�this De�d o�Trus�with�n the pre�eding twel�e {1�7 months, it may be cured i�
<br /> Trustor, afte� Lender s�nds written notice to Trustor demanding cure of such de#ault: �1} cures the defaul�within
<br /> tw�nty ���} days; ar ��} if the cure requires mare than twenty �20� days, immediately initiates steps which
<br /> L�nder deems in L�nder's sol� d�scretion to he sufficient t� cure the de�ault and thereaf�er continues and
<br /> Completes afE �easonab�e and neeessary s�eps su��icien��o produce compliance as soon as �easonably practical.
<br /> R1GHT5 AND REME�IES �N DEFAULT. I�an E�ent v� Default occurs under this De�d of Trust, at any time �hereafter,
<br /> Trustee or Lender may exercise any one ar more of the�o�lvwing rights and remedies:
<br /> AG�eleration Upon []efault; Additivnat Remedies. I�any E�ent o� Default�c�urs as per th� terms of the Note
<br /> secured her�by, Lender may declare a�� Inde��edness secured by th�s aeed �f T�ust to be due and payab[e and
<br /> the same shall thereupon become due and payable w�thout any presentment, demand, protest ar no�i�e of any
<br /> kind. Thereafter, Lender may:
