Box 627 <br />Grand Island, NE 68802 <br />m <br />i v I <br />rl <br />1 <br />SPECIAL WARRANTY DEED <br />GRANTOR covenants with GRANTEE that: <br />(1) GRANTOR is lawfully seized of such Real Estate and that it is free from <br />encumbrances, subject to any and all restrictions, reservations, covenants, <br />conditions, rights -of -way, easements, and encumbrances of record, if <br />any, municipal or other governmental zoning laws, regulations and <br />ordinances, if any affecting the Real Estate and subject to the following <br />restrictions upon GRANTEE, its successors and assigns: <br />A. No part of the Real Estate shall ever be used directly or indirectly, by <br />any business engaged in (A) the collection, recycling, processing, <br />conversion, transfer, sale or other disposal of animal and poultry by- <br />products, from any source, into fats and protein meal products, <br />fertilizer or fuel products, (B) the collection and processing of used <br />cooking oil, (C) the collection, processing and marketing of animal <br />hides, (D) the sale of the processed products to livestock and pet food <br />manufacturers, among other customers, (D) the collection, processing <br />and marketing of bakery waste, (F) the servicing of grease traps and/or <br />the processing of grease trap waste, (0) the manufacture or sale of <br />biodiesel or any other alternative energy product. <br />B. This Covenant shall survive closing and run with the land and the Real <br />Estate, shall be binding on the Real Estate and shall be binding on any <br />subsequent owner of the Real Estate, or any portion thereof, and their <br />heirs, successors and assigns and shall be for the benefit of the Seller <br />and its heirs, successors and assigns. Any transfer of title to the Real <br />Estate, or any portion thereof, by deed or other instrument of <br />conveyance, shall be subject to this Covenant and by acceptance of a <br />deed or instrument of conveyance, the transferee, grantee or any <br />subsequent owner of the Real Estate, or any portion thereof shall be <br />deemed to have consented to this Covenant and the restrictions <br />contained therein. <br />DARLING NATIONAL LLC, a foreign limited liability company, GRANTOR, in <br />consideration of One Dollar ($1.00) and other valuable consideration received from GRANTEE, <br />GIAET, LLC, a Nebraska limited liability company, conveys to GRANTEE the following <br />described real estate (as defined in Neb. Rev. Stat. §76-201) in Hall County, Nebraska: <br />All of Lot One (1), Wilson's Subdivision, excepting therefrom certain tracts of <br />land more particularly described in Document No. 85- 001216 and also excepting <br />therefrom any portion of the railroad right of way, all in Hall County, Nebraska. <br />
