51668048.5 <br />and usable for their intended purposes shall be so much additional Debt, and shall <br />become immediately due and payable on demand, and with interest thereon at the Default <br />Rate. <br />(b) The Lender, in making any payment, may do so according to any written <br />bill, notice, statement or estimate, without inquiry into the amount, validity or <br />enforceability thereof. <br />(c) Nothing contained herein shall be construed to require the Lender to <br />advance or expend monies for any purpose mentioned herein, or for any other purposes. <br />8. Security Agreement. <br />11 <br />201508663 <br />(a) Grant of Security Interest. Borrower hereby grants to Lender a security <br />interest in the Personal Property to secure the Debt. This Mortgage constitutes a security <br />agreement with respect to all Personal Property in which Lender is granted a security <br />interest hereunder, and Lender shall have all of the rights and remedies of a secured party <br />under the Code, as well as all other rights and remedies available at law or in equity. <br />(b) Perfection. Borrower hereby consents to any instrument that may be <br />requested by Lender to publish notice or protect, perfect, preserve, continue, extend, or <br />maintain the security interest and lien, and the priority thereof, of this Mortgage or the <br />interest of Lender in the Mortgaged Property, including, without limitation, deeds of <br />trust, security agreements, financing statements, continuation statements, and instruments <br />of similar character, and Borrower shall pay or cause to be paid (i) all filing and <br />recording taxes and fees incident to each such filing or recording, (ii) all reasonable <br />expenses, including without limitation, actual attorneys' fees and costs (of both in house <br />and outside counsel), incurred by Lender in connection with the preparation and <br />acknowledgement of all such instruments, and (iii) all federal, state, county and <br />municipal stamp taxes and other taxes, duties, imposts, assessments, and charges arising <br />out of or in connection with the delivery of such instruments. Borrower hereby consents <br />to, and hereby ratifies, the filing of any financing statements relating to the Loan made <br />prior to the date hereof. Borrower hereby irrevocably constitutes and appoints Lender as <br />the attorney -in -fact of Borrower, to file with the appropriate filing office any such <br />instruments. In addition, Borrower hereby authorizes Lender to cause any financing <br />statement or fixture filing to be filed or recorded without the necessity of obtaining the <br />consent of Borrower. <br />(c) Place of Business. Borrower maintains its chief executive office as set <br />forth as the address of Borrower in Section 27 below, and Borrower will notify Lender in <br />writing of any change in its place of business within ten (10) days of such change. <br />(d) Fixture Filing. This Mortgage is intended to be a financing statement <br />within the purview of the Code and will be recorded as a "fixture filing" in accordance <br />with the Code.
