am <br />STATE OF NEBRASKA <br />COUNTY OF HALL § 2 0 010 0 9 2 (3 <br />SPECIAL WARRANTY DEED <br />THIS DEED is made to be effective as of December, 2000, by Moon Cemetery <br />Association, a Grand Island, Hall County, Nebraska cemetery association, whose address is c/o The <br />Loewen Group, Inc., 4126 Norland Avenue, Burnaby, British Columbia, Canada VSG 3S8 <br />( "Grantor "), to and for the benefit of West Lawn Memorial Park Cemetery Association, a <br />Nebraska corporation, whose address is 751 North Lincoln, Fremont, Nebraska 68025 ( "Grantee "). <br />WITNESSETH: <br />THAT for and in consideration of Six Hundred Thousand Dollars ($600,000) and other good <br />and valuable consideration (in the total as stated below), the receipt and sufficiency of which is hereby <br />acknowledged, Grantor hereby grants, bargains, sells and conveys unto Grantee, in fee simple, that <br />certain lot or parcel of land located in Hall County, Nebraska, and more fully described on Exhibit A <br />attached hereto and incorporated herein by reference, together with all appurtenances thereto and <br />improvements thereon (the "Propert y "). <br />TO HAVE AND TO HOLD the Property unto Grantee, its successors and assigns forever, <br />and Grantor hereby binds itself and its successors to warrant and forever defend the Property unto <br />Grantee, its successors and assigns against every person whomsoever now or hereafter claiming the <br />Property or any part thereof by through or under Grantor, but not otherwise, and in all respects <br />SUBJECT TO: (i) easements, covenants, rights of way and other encumbrances or restrictions of <br />record which do not have, individually or in the aggregate, a material adverse effect on the current use <br />of the Property; (ii) liens related to taxes not yet due or payable or which are being contested in good <br />faith and for which appropriate reserves have been taken; (iii) liens that are created, suffered or <br />assumed by Grantee; and (iv) such matters described on Exhibit B attached hereto and incorporated <br />herein by reference. <br />DECLARATION OF CONSIDERATION OR VALUE: Grantor hereby declares, and by <br />acceptance of this Deed Grantee hereby acknowledges, that the total consideration paid to Grantor for <br />the Property is $600,000. <br />5603: West Lawn Memorial Park DL: 1148656v2 <br />3826 West Stolley Park Road, Grand Island, Nebraska Deed - Loewen/Charter <br />
