c <br />A Z <br />n N <br />TRANSFER AGREEMENT <br />This agreement is entered into this 15 day of October, 2014, by and between the <br />Village of Shelton, a Municipal Corporation, organized under the laws of the State of <br />Nebraska, hereinafter referred to as "Village ", and the Shelton Cemetery Association, a <br />nonprofit corporation organized under the laws of the State of Nebraska, hereinafter referred <br />to as "Association ". <br />WHEREAS Association has endeavored to use of volunteer appointments endeavored <br />to maintain the Shelton Cemetery located to the East of the Village of Shelton in Hall County, <br />Nebraska; and <br />WHEREAS the Association has acquired during the course of its existence property <br />and funds for the perpetual care of said cemetery and for maintaining, improving and <br />developing the cemetery; and <br />WHEREAS it has been more and more difficult for the Association to acquire <br />volunteers and provide financial means to maintain the cemetery; and <br />WHEREAS the Village is willing and able to assume responsibility for maintaining <br />that portion of the heritage of the Village of Shelton, Nebraska that is represented by such <br />cemetery. <br />NOW THEREFORE in consideration of the mutual covenants herein contained the <br />parties agree as follows: <br />1. The Association shall transfer to the Village all property and money under control of <br />the Cemetery Association by means of deed, cash transfer or other forms of negotiable <br />instrument, to include bills of sale. <br />2. All deeds to burial lots and other property of the Cemetery including personal <br />property shall be transferred to the Village subject to any conditions or restrictions which may <br />have been placed thereon by any donor thereof. <br />3. All funds and any money credited to the Association's perpetual care fund shall be <br />transferred by the Association and placed in a new or existing fund dedicated to the general <br />care, maintenance, management, improvement, beautification and welfare of the cemetery <br />under the same restrictions of endowment and use as when delivered to the Association. The <br />Village shall take such steps as to segregate such funding for purposes of performing the afore <br />mentioned duties. <br />4. All monies under the control of the Association and transferred to the Village which <br />may be restricted by the original endower thereof shall continue with such restrictions thereof. <br />5. Upon completion of all transfers the Association shall pursuant to Section 25 -530 <br />Neb.Rev.Stat. be deemed disbanded. <br />6. The Village shall create a Cemetery Advisory Board composed of no less than five <br />interested individuals who may or may not be residents of the corporate limits of the Village. <br />7. Association acknowledges that the attached list of assets, excluding real estate, are to <br />be transferred in conjunction herewith. <br />8.
