Lilley ( "Grantor ") and Gideon Properties, L.L.C., Nebraska Limited Liability Company, ( "Grantee "). WHEREAS, Grantor is the owner of the real estate legally described as set forth on Exhibit 1 ( "Grantor's Property"); and WHEREAS, Grantee is the owner of the adjacent property legally described as set forth on Exhibit 2 ( "Grantee's Property "); and WHEREAS, Grantee desires to obtain and Grantor is willing to grant an access easement upon part of Grantor's property legally described as set forth on Exhibit 3 ( "Easement Property ") NOW, THEREFORE, in consideration of the mutual covenants and agreements of the parties, it is agreed as follows: 1. Grantor hereby grants and conveys unto Grantee a perpetual easement for access purposes upon the Easement Property. 2. "Access purposes" as used in this Easement Agreement means the right to the non- exclusive use of the Easement Property as a means of ingress and egress to and from Grantee's Property by Grantees, their successors in interest, guests, visitors and assigns. 3. Grantor shall have no obligation to maintain the existing private road or bridge upon the Easement Property in good repair. Any desired maintenance shall be performed by Grantee at Grantee's expense. Neither Grantor nor Grantee will obstruct access to the easement granted herein by fence, gate or other obstruction without the written consent of the other party. 4. Subject to the terms set forth herein, this easement shall run with the land and shall be binding upon the parties, their successors in interest and assigns. 5. Grantees, its successors and assigns, shall hold Grantor, his successors and assigns, harmless from any and all death or injury to persons or damage to property caused by the repair, maintenance or use of the easement granted herein. 6. This Easement Agreement constitutes the entire agreement of the parties. Any modification of this Easement Agreement shall be binding only if evidenced in writing and signed by all record owners of Grantor's Property and Grantee's Property.
