Lilley ( "Grantor ") and Gideon Properties, <br />L.L.C., Nebraska Limited Liability Company, ( "Grantee "). <br />WHEREAS, Grantor is the owner of the real estate legally described as set forth on <br />Exhibit 1 ( "Grantor's Property"); and <br />WHEREAS, Grantee is the owner of the adjacent property legally described as set forth <br />on Exhibit 2 ( "Grantee's Property "); and <br />WHEREAS, Grantee desires to obtain and Grantor is willing to grant an access easement <br />upon part of Grantor's property legally described as set forth on Exhibit 3 ( "Easement Property ") <br />NOW, THEREFORE, in consideration of the mutual covenants and agreements of the <br />parties, it is agreed as follows: <br />1. Grantor hereby grants and conveys unto Grantee a perpetual easement for access <br />purposes upon the Easement Property. <br />2. "Access purposes" as used in this Easement Agreement means the right to the <br />non- exclusive use of the Easement Property as a means of ingress and egress to and from <br />Grantee's Property by Grantees, their successors in interest, guests, visitors and assigns. <br />3. Grantor shall have no obligation to maintain the existing private road or bridge <br />upon the Easement Property in good repair. Any desired maintenance shall be performed by <br />Grantee at Grantee's expense. Neither Grantor nor Grantee will obstruct access to the easement <br />granted herein by fence, gate or other obstruction without the written consent of the other party. <br />4. Subject to the terms set forth herein, this easement shall run with the land and <br />shall be binding upon the parties, their successors in interest and assigns. <br />5. Grantees, its successors and assigns, shall hold Grantor, his successors and <br />assigns, harmless from any and all death or injury to persons or damage to property caused by <br />the repair, maintenance or use of the easement granted herein. <br />6. This Easement Agreement constitutes the entire agreement of the parties. Any <br />modification of this Easement Agreement shall be binding only if evidenced in writing and <br />signed by all record owners of Grantor's Property and Grantee's Property. <br />
