3 <br />201502154 <br />deliver and deposit any check, draft, money order or other form of <br />payment instrument payable to Assignee and tendered as payment on or <br />proceeds from any Loan or Property; <br />c. to take or. cause to be taken through . its attorneys, agents and/or <br />representatives such other and further acts as the Attorney may deem <br />necessary or prudent to protect and/or further the interests of Assignee <br />with respect to any Loan, including without limitation the initiation, <br />maintenance, prosecution, defense and/or termination of any legal, <br />statutory, bankruptcy and/or administrative proceedings arising out of or <br />related to any Loan or any Property; and to institute the sale, conveyance, <br />assignment, transfer or exchange of any legal actions or judgments <br />obtained for any amount, including an amount less than the balance of the <br />Loans; <br />d. to endorse, execute, seal, acknowledge, deliver, file, and/or record <br />(including with the appropriate public officials) the following: <br />any documents or instruments (a) to endorse any of the Loan <br />Documents, (b) to maintain and protect the validity, priority or <br />value of the security interest created by the Loan Documents and <br />all proceeds thereof, including without limitation the notification of <br />any property tax authorities and any casualty, title or mortgage <br />insurers with respect to such Loan, (c) to grant a lien on and <br />security interest in any Property acquired by Assignee (through <br />foreclosure of a mortgage or deed of trust securing a Loan, deed in <br />lieu of foreclosure, or otherwise) in order to secure the obligations <br />of Assignee owing to WestLB (or their successors or assigns), <br />whether in the form of a mortgage, deed of trust, or otherwise, and <br />to pay any taxes, costs or expenses in connection with the filing, <br />recording and enforcement thereof, (d) to participate in and <br />represent the interests of and act as Assignee with respect to the <br />default, collection, liquidation or foreclosure of any such Loan, the <br />bankruptcy of the borrower and the related guarantor or any lawsuit <br />or legal proceeding involving the Loan or the Property, and (e) to <br />provide notice to any person regarding any matters pertaining to <br />any Loan; <br />ii. any modifications, waivers, assumptions, amendments or <br />agreements for subordination or forbearance of any of the Loan <br />Documents; and <br />iii. any instruments of satisfaction or cancellation, or of partial or full <br />release or discharge, and all other comparable, instruments with <br />respect to any Loan; and <br />
