The 1999 Declaration, the First Amendment, the Second Amendment, <br />the Third Amendment and the Fourth Amendment are hereinafter collectively referred to as the <br />"Declaration ". <br />B. Allen Webb Road is the owner of Parcel 28, legally described as Lot 11, Meadowlark <br />West Fourth Subdivision, a subdivision, as surveyed, platted and recorded in Hall County, Nebraska <br />( "Lot 11 "), as depicted on the Site Plan attached hereto as Exhibit "A ". William D. Raile or his assigns <br />is about to purchase Lot 11 for the construction of a physical fitness/health club building. Allen, Allen <br />Webb Road and GIV are Consenting Owners with respect to Parcel 28 as that term is defined in the <br />Declaration. <br />C. The parties desire to approve and consent to certain matters with respect to the <br />construction of the physical fitness/health club building as required by the Declaration. <br />Now, therefore, in consideration of the foregoing Recitals which are incorporated herein by this <br />reference, and for other good and valuable consideration, the receipt and sufficiency of which is hereby <br />acknowledged, the parties hereby agree as follows: <br />1. Recitals. Except as set forth herein, the recitals are incorporated herein as if set forth in <br />2. Capitalized Terms. All capitalized terms shall have the meanings respectively given to <br />them in the Original Declaration. <br />3. Approval of Plans; Physical Fitness/Health Club. Pursuant to Sections 2.3(a), 2.3(e) <br />and 4.3(d)(iii) of the 1999 Declaration, Allen, Allen Webb Road and GIV hereby approve the Physical <br />Fitness/Health Club Building Design Drawings, the location and height of the proposed Physical <br />Fitness/Health Club building and monument sign, and the location of the trash enclosure for Lot 11, all as <br />described and depicted on Exhibit `B" attached hereto. Pursuant to Section 2.1(b) of the 1999 <br />Declaration, Allen, Allen Webb Road and GIV hereby approve the Common Area improvements located <br />within the Building Envelope for the Physical Fitness/Health Club to be located on Lot 11 as depicted on <br />Exhibit `B ". <br />4. Counterparts. This Approval may be executed in two (2) or more counterparts, each of <br />which shall be deemed an original, and all of which together shall constitute one and the same agreement. <br />ROBERT M.
