Thelen and Janis Thelen, husband and wife <br /> (hereinafter referred to collectively as "Thelen") and Landell- <br /> Thelen Inc. (hereinafter referred to as "Company") . <br /> WHEREAS, Thelen and Company entered into that certain Joint <br /> Venture Agreement dated July 11, 2007 (hereinafter referred to <br /> as "Joint Venture Agreement") ; and <br /> WHEREAS, said Joint Venture Agreement was filed of record <br /> as Instrument No. 2007068050 in the real estate records of Hall <br /> County, Nebraska, on August 9, 2007; and <br /> WHEREAS, said Joint Venture Agreement related to that <br /> certain real estate legally described as follows: <br /> Lots 1, 2 and 3, in Block 9, in MacColl and s <br /> Addition to Wood River, Hall County, Nebraska, as <br /> surveyed, platted and recorded (hereinafter referred <br /> to as the "Real Estate") ; and <br /> WHEREAS, Thelen and Company desire to amend as Joint <br /> Venture Agreement as hereinafter set forth. <br /> NOW, THEREFORE, Thelen and Company, in consideration of <br /> mutual promises and covenants herein contained, hereby mutually <br /> promise, covenant and agree as follows: <br />
