McKay Fischer, husband and wife, GRANTORS, in consideration of One Dollar ($1.00) and other good and valuable consideration, receipt of which is hereby acknowledged, grant and convey to Keith Rolls and Gladys Rolls, husband and wife, GRANTEES, a Right of First Refusal on the following described real estate (as defined in Neb. Rev. Stat. Sec. 76 -201) in Hall County, Nebraska: Lot Two (2), Block One (1), Bartling's Subdivision in the City of Grand Island, Hall County, Nebraska. The parties hereto entered into a purchase agreement on October 20, 2014. In consideration of the purchase agreement, the mutual benefits to each party, and other good and valuable consideration, receipt of which is hereby acknowledged, Grantors hereby grant said right of first refusal under the following terms and conditions: 1. For and during the lifetime of the Grantees, before Grantors can sell, transfer or convey such real estate, Grantors must first offer said property to Grantees in writing. Grantee shall have thirty (30) days to exercise said right of first refusal. The Right of First Refusal may be exercised by the Grantees delivering to Grantors, by hand or certified United States mail, return receipt requested, a Notice of Exercise of Right of First Refusal. At that time, Grantors and Grantees shall enter into a standard real estate contract for the purchase of said real estate. 2. The purchase price for said real estate shall be established by using the amount of any written offer (including written verification of authorized loan approval by the lender of any prospective Buyer) made by a third party to Grantors for the purchase of said real estate. 3. Said purchase price shall be paid in cash or certified funds at the time a deed to the property is delivered to Grantees. 4. This Right of First Refusal shall not be assigned without the written consent of the Grantors. 5. This is the full and complete agreement between Grantors and Grantees, and all other agreements, written or oral, are incorporated herein. 6. This agreement shall be binding upon the successors, personal representative, and assigns of the Grantors, and shall terminate upon the death of both Grantees.
