conveyance ; provided, however, if Gian (or her personal representative if she is <br />deceased) fails to make such transfer within ninety (90) days following the expiration of <br />the time set forth above for the election by Elizabeth (or the current owner of the <br />Retained Property), the Purchased Property shall again become subject to all restrictions <br />in this Right of First Refusal as to any subsequent sale, transfer or conveyance by Gian <br />(or her personal representative if she is deceased). Any grantee of any conveyance of the <br />Purchased Property shall be subject to the provisions for the restrictive covenants and <br />easement contained herein. <br />(f) Benefit. The Right of First Refusal shall be for the benefit of Elizabeth, <br />and her heirs, legal representatives, successors and assigns and may be enforced by <br />Elizabeth, and her heirs, legal representatives, successors and assigns. <br />4. Binding Effect.
