��14��144 <br /> �e} Cansultant sha�l re�iew the management af the Project, make recommendatians t� <br /> �perator for the correction of the Project�perating Deficier�cy and, subject to applicable Legal <br /> Requirements governxng the canfidentiality of pat��nt records, ha�e complete acc�ss to the <br /> Proj�ct and �ts recards, off�ces and facilities in order ta carry out its duties under such <br /> engagement. �perator shall instruct Consultant ta prepare and d�li�er to HUD, the Lender and <br /> �perator a written report of�onsultant's recommendati�ns within thirty �3�}days after its <br /> engagement. <br /> �f} �perator shall pr�mptly imp lement any and al� reasonab le recommendations <br /> made by Consultar�t in arder t�promptly correct or cure the Praj�ct�perating Deficiency; <br /> provided, havvever,that in nn e�ent shall �perator implement any recommendation that w�uld <br /> constitute a violation af applicable Legal Requirements or wauld otherwise constitute a default <br /> under the Loan I]o�uments unless HUD and the Lender consent in writing ta such <br /> recommendation. HUD and Lender may give or withhold their consent in their so�e and a�solute <br /> discretion. Nothir�g herein shall impose any iiability or ob�igati�n on HUD or the Lender to �a} <br /> request the appaintment of a Cor�sultant or�b} otherwise remedy such Project�perating <br /> Deficiency, nor shall anything in this Section 3 cause HUD or the Lend�r to be deem�d the <br /> aperator af the Healthcare Facility. <br /> 4. INTENTI�NALLY �MITTEI�. <br /> 5. Re�ease of a Pr�'ect fram Master Lease. <br /> Upon th� occurrence of any of the fo�lovving�vents, the Lender and HUD shall consent <br /> to: (a}termination of the �perator Regulatory Agreement and the Master Tenant Regulat�ry . <br /> A reement related to the applicabie Project; �b} re�ease of th�Project from the Mast�r Lease; and <br /> � <br /> �c}t�rmination, amendment, andlor assignment�f the Sublease �collectively, a"Master L�ase <br /> Release"}: <br /> (i} the bona fide sale or assignment by Land�ord t� a third party wh�ch is r��t an <br /> Affiliate of Land�ord of the interests of Landlord in the Project; - <br /> (i i} the bona fide sale or assignment by�perator to a third party vvhich i s not an <br /> Aff liate of�perator of the interests of 4perator in the Praject; <br /> �iii� the paymer�t�n fu�l of the Laan; or <br /> iv an date u on whi�h either�l}the contract of rnor�gage insurance is no longer in <br /> � � Y � <br /> effect with re ard to the Laan, or�2� H U D i s n� longer the owner, holder or insurer of the Loan; <br /> � <br /> provided,that: <br /> 1 each such_preceding event is subject ta cnnsent by Lender and HUI�to the extent <br /> ( } . . <br /> s�t farth in the Loar� Documents and Program �bligat�ans; <br /> 2 each such preceding e�ent may be subject ta the rights of S�rrower, Master <br /> ( } <br /> .
