To the extent of the <br /> �ollaxeral,this Agreement constitutes an absolute, unlimit�d, uncondit�onal ar�d continuing guaranty <br /> �f payment, not collection. The �ecured Party sha�l not �� required first to�r��ort for payrn�nt of - <br /> the �biigations to any persons or their properties, ar first to enforce, realize up�n or exhaust any <br /> collateral se�urity for�bl igations, bef�re enforcing this Agreement. <br /> (� The l iabil ity of the Master Tenant under this Agreement is in additi�n to and shall <br /> be cumu�ati�e with a�l other liabilities of the Master T�nant t� Secured Party as obligor or <br /> othervvise, vvithout any limitation as to am�unt, and all other liabilities of any other Persan wh� <br /> guarantees all or any portion af the �b�igations, unless the instrument ar agreement evidencing <br /> or creating such�ther liahility specif�ally pro�ides to the contrary. <br /> �g} Th�s Agreement shal� be effective upon de�i�ery to Secured Party, withaut further <br /> act, cnnditi�n or acceptance by Secured �'arty. Any inval idity or unenforceabi 1 ity of any <br /> provision of application of this Agreement sha�l not affe�t other lawful pro�isians and <br /> application hereof, and to this end the provisions of this Agreement are declared ta be se�erahle. <br /> �h} Master Tenar�t hereby co�enants that this Agreerx�ent will not be discharged <br /> except by camplete performance of the ohligati�ns conta�ned in this Agreement. Master Tenar�t <br /> wai�es all setoffs and counterclaims and a1� presentments, d�mands far performance, n�tices �f <br /> nonperformance, protests, notices of protest, nfltices of dishonor, and notices of acceptance of, <br /> and reliance on, this Agreement. Master Tenar�t fur�her vvaives all �i} natices of the existence, <br /> creation or incurring of new or additi�nal indebtedness, arising e�ther frorn additional ��ans <br /> extended to Master Tenant or BorroWer, or othervvise, �ii} notices that the principal amou�t, or <br /> any p�rtion thereof(and any interest there�n}, of the Loan or any of the ather�bligations is due, <br /> �iii} notices of any and all proceedings ta collect from Mast�r Tenant andlor Borr�wer af ail or <br /> any part of the �bligatians, ar from any�r�e els�, �i�}, to the extent permitted by law, notices of <br /> exchange, sa�e, surrender or other handling of any se�urity or cnllateral gi�en to Secured Party ta <br /> s�cure payment af alI or any part of the �b�igations, and ��� defenses based on suretyship or <br /> impairment of collatera�. <br /> 22.
