<br /> 1. Lease. Cedar Falls Bickford �ottage, L.L.C., JV Landlard-Clinton, LL� and JV
<br /> Landlord-Iowa �ity, L L�, as Lar�d�ord, and Master T�r�ant entered intn and executed a Master
<br /> Lease and Addendum �the "�riginal Lease"}dated as Jul}� 1, 2U 14. The �riginal Lease has been
<br /> modified by a Joinder to Master Lease dated as of July 1, 2���4 by and among Master Tenant, as
<br /> Tenant, and Cedar�alls Bickfard �ottage, L.L.C., JV Landl�rd-Battle Creek, LL�, JV Landlord-
<br /> Clinton, LL�, JV Landlard�iowa �ity, LL�, JV Landlord-Lansing, LL�, JV Landlord-Midland,
<br /> LLC and JV Landlord-Saginaw, LLC as Landl�rd �the "Joinder"}. The �riginal Lease has b��n
<br /> further modified by a Second Joinder to Master Lease dated of even date herewith by and among
<br /> Master Tenant, as Tenant, and �edar Falis Bickford �ottage, L.L.C., JV Lar�dlord-Battle Creek,
<br /> LLC, JV Landlord-�linton, LL�, JV Landlard-Iowa �ity, LLC, JV Landlord-Lansing, LL�, J V

<br /> Isiand Bickford �ottage, L.L.�. as Landl�rd (the "Second Joinder"}. The Joinder and Second
<br /> Joinder are hereinafter referred to �collectively as the Joinders. This Memorar�dum is �eing
<br /> er�tered into to memorialize the addition of the Facility Lar�dlard and the reai property described
<br /> on Exhibit A attached her�to �"Proper�y"}pursuant ta the Second Joinder. Th� �riginal Lease as
<br /> modified by the Joinders is hereinafter referred ta collecti�eiy as the "Lease". A Memorandum
<br /> of Master Lease Agr�ement may be filed in the appropriate jurisdiction with respect to the
<br /> � additianal praperty subject to the Lease pursuant t�the Se�ond J�inder.
<br /> 2. Term of Lease. The term shall begin within 1� days after the date herenf ar�d
<br /> unless terminated or extended in acGordance with the prnvisions of the Lease, shall expire on
<br /> September 3D, 2�19. The term of the Lease is f�e �5} years vvith an option t� extend the Lease
<br /> for six �6}periods of f�e �5} years ea�h.
<br /> 3. Inc�rporation �f Lease. The Lease is unrecarded and is herein expressly
<br /> inco orated b reference for a complet� statement �f the rights and �bligations of Facility
<br /> � y
<br /> Landiord and Master Tenant with respect to the Property. Any conf[ict between this
<br /> Memorandum of Master Lease Agreement and the Lease shall be ga�erned by the terms of the
<br /> Lease.
