<br /> 32. MANA�ENIENT��ENT. In the e�ent that a manag�ment agent is�r wi11 be
<br /> the ho�der of the Healthcare Faci�ity license�r�s or wil�be the payee u.nder nne or more third-
<br /> par�y payor agreernents�vith res�ect to the Healthcaxe Facility, such ma,nag�ment ager�t wiil be
<br /> treat�d�s an�perator in a�cardance with Pr��ram�b�igations.
<br /> 33. CC]MMERCIAL �N�N-RESIDENTIAL)LEASES. Na portion of the Pra�ect
<br /> shall be leased for any camm�rcial purpa�se or use withaut rec�iving HUL]'s pri�r written
<br /> appraval as to terms, form ar�d amount, except f�r commercial leases f�r support or ancil�ar�
<br /> services which a�re subordi�ate to the Borrower's Secu�ity Instrument,have terms af not mo�e
<br /> than f�e�5}years and�therwise comply�rith Pragram �bl�gati�ns. Barrower sha�l deliver, or
<br /> cause�o be del�v�red, a.n e�ecuted��p}�of any cvmmercial leas�to HUD an�i Lend�r v�ithin
<br /> thirty�3�}days after its effective dat�.
<br /> V. A�TIC]NS�E(�UIRIN� TI-�E PRI�R WR.ITTEN APPR�VAL(�F HUD.
<br /> 34. Barrower shall not without the�rior�vritten ap�roval of HUD, rncluding w�thout
<br /> �imitat�c�n in accordance w�th Program�bligati�ns:
<br /> �a� �on�ey, assi�n,transfer,pledge,hy�aothecat�,�ncumb�r,or otherwise
<br /> dispose of the Mortgaged property or any inter�st therein, or permit the con��yan�e, assign.ment,
<br /> or tran�fer of any interest or contro�ir�Borrow�r�if the�ffect of such�o��eyanGe, �ssignme�.t or
<br /> transfer is the creation or elimination of a Principal}unless permitted l�y Pr�gram�bligatior�s.
<br /> Barrow�r need nat obtain the prior written approval of HUI� fc�r: (i) conveyance of the
<br /> Mart�aged Praperty at a judicial or nan judicial fnreclosure sal�und�r the Borro�v�r's S�cur�ty
<br /> Instrument; �ii}ir��lu�ion of the Martgaged Prvperty in a bankruptcy estat��y operation af�aw
<br /> under the United States Bankruptcy Cod�; ��ii�acquisitzon of ar�interest by inherit�ce or by
<br /> court decree; or�iv�as otherwise allawed by pragrarn�b�igations.
