<br /> Z4. I�E�PUNSIVENESS T�IN�UIRIES. At the request af HUD, Bo�rower shall

<br /> questions relative ta incorne,assets, liabiliti�s,contracts, operatinn, and�anditions of the Proj ect

<br /> �5. PEI�MIT�AND APPR�VALS.

<br /> agent, as appl�cable,tn maintain in full #`orce and effect, all appropr�ate cer���cates of need, b�d
<br /> au�hor��y,provider agreements, �1C�ri5�5,permits and approva�s reaso�ab�y r��cessary ta op�rate
<br /> the Hea�thcare Facility c�r to furid the operatian of the Project for the App���ed Use�coll��tiVely,
<br /> th�"Permits and Appr��al�"). �Vithout the p�or vvr�tten cansent�f HUD, none of the Permits
<br /> and Appro�als sha�l be Conv�yed, �..551�I1�C�, encumbered,transferred ar alienated frc�m the
<br /> Healthcare Facility or the Project�n�r shall they be rel�nquis�ed to any licen���g or�er�ification
<br /> autharity�. BorroWer shall ensure that the H�alth�are Fa�i�ity and the Project ar�at all times
<br /> operated in a�cardanc��v�th th�requirements of the Permits and Appravals.
<br /> �b) The security in�er�st refe�-red t� �n Sect�on�7 b��ovv sha�l const�tute,to the
<br /> e��ent��rmitt�d by iaw, a first lien upon a�l of the rights, ti�les and interests of Bor-�rower, �f any,
<br /> in the F'ermits and Ap,pravals. HovWever, in th�ev�nt of either a monetary or other d�fault under
<br /> thi�Agreement,the N�te,the Barr�wer's Se�urity Instrument,or any❑f the ath�r Loan

<br /> to permit the continued opera�ion of�he Hea�thcare Faci��ty for the Approved�LTse. Far the
<br /> intents and purposes herein, B�rrow�r hereby irrevo�ab�y nominates�and appoints Lender and
<br /> HUD,their respective successors ar�d assigns, each i�i�s own capacity, as Borrower's attorney-
<br /> in-faet coup�ed with an interest to do all thin�s that any such attorney-�n-fact deerns ta�be
<br /> n�cessary or appropriate in order to fac�litate the continued operatiori of the Healthcar�Fa�ility
<br /> ar�d the Froj�ct far the A�ppraved Use, includin�but not limited to,the power and author�ty to
