<br /> � The Trustee
<br /> Section 1001 . The Trustee hereby accepts the trusts
<br /> imposed upon it hereunder and agrees to perform said trusts
<br /> as an ordinarily prudent trustee under a corporate mortgage ,
<br /> but only upon and subject to the following express terms and
<br /> :;
<br /> conditions :
<br /> ( a ) The Trustee rnay execute any of the trusts or powers
<br /> hereof and perform any of its duties by or through
<br /> attorneys , agents , receivers or employees , and
<br /> shall oe entitled to advice of counsel concerning
<br /> a11 matters of trusts hereunder and the duties
<br /> � hereunder , and aay in all cases pay such reasonable
<br /> compensation to a11 such attorneys , agents ,
<br /> receivers and employees as may reasonably b e �
<br /> employed in connection with the trusts hereof .
<br /> The Trustee may act upon the opinion or advice of
<br /> any attorney , surveyor , engineer or accountants
<br /> selected or retained by the Issuer prior to the
<br /> occurrence of a derault of which the Trustee has
<br /> � been notified , as provided in Subsection ( g ) of �..
<br /> this Section , or of which by said Subsection the
<br /> � Trustee is deemed to have notice , approved by the �
<br /> Trustee in ttze exercise of such care . The Trustee
<br /> sha11 not be responsible ror any loss or darnage
<br /> resulting from any action or non - action in accor -
<br /> dance wir.h any such opinion or advice . ` `
<br /> (b ) The Trustee shall not be responsible for any recital � '
<br /> herein , or in said bonds ( except in respect to the
<br /> certificate of the Trustee endorsed on said bonds ) ,
<br /> or for the recording or rerecording , filing or
<br /> refiling of this Indenture , or for insuring the
<br /> property herein conveyed , or for the validity of
<br /> the execution by the Issuer of this Indenture , or
<br /> of any supplements hereto or instruments of further
<br /> assurance , or for the sufficiiency of the security
<br /> for the bonds issued hereunder , or intended to be
<br /> secured hereby , or for the value or title of the
<br /> property herein conveyed , except that in the event
<br /> the Trustee enters into possession of a part or
<br /> all of the property herein conveyed , pursuant to
<br /> any provision of this Indenture , it shall use due
<br /> diligence in preserving such property ; and the
<br /> Trustee shall not be bound to ascertain or inquire
<br /> as to the performance oz observance of anv covenants ,
<br /> conditions or agreements on the part of the Issuer ,
<br /> except as hereinafter set forth ; but the Trustee
<br /> may require of the Issuer full information and
<br /> advice as to the performance of the covenants ,
<br /> conditions and agreements aforesaid and as to the
<br /> condition of the property herein conveyed .
<br /> . � ( c ) The Trustee shall not be accountable for the use of
<br /> any bonds authenticated or delivered hereunder . The
<br /> ` � Trustee may become the owner of tYie bonds secured �
<br /> hereby with the same rights which it would have if
<br /> not Trustee . � �

<br /> t ( d) The Trustee shall be protected in acting upon any
<br /> a notice , request , consent , certificate , order , � �
<br /> ' affidavit , letter , tele ram or other � �
