Severability. If any term or provision of this Agreement is held to be invalid or <br />unenforceable by a court of competent jurisdiction, then such holding shall not affect any other <br />terms or provisions of this Agreement, and the same shall continue to be effective to the fullest <br />extent permitted by law. <br />5. Authority. The Agreement constitutes a valid and binding obligation of such <br />partners, in accordance with its terms.
