GRANT OF EASEMENT THIS EASEMENT AGREEMENT (this "Agreement"), � day of ( g "), made this A u5E , 2014 (the "Effective Date "), by and between CNH INDUSTRIAL AME LLC ( "Grantor "), and CITY OF GRAND ISLAND ( "Grantee "), collectively known for purposes of this Agreement as the "Parties." WHEREAS, Grantor is the owner in fee simple absolute of a certain parcel of land located in Grand Island, Nebraska, which parcel is more particularly described on the Exhibit A attached hereto and incorporated herein by reference (the "Grantor Parcel ") and WHEREAS, Grantee desires to receive, and Grantor consents to give, certain easements over, under, and across certain areas of the Grantor Parcel; NOW, THEREFORE, in consideration of the sum the premises described above, the grants and covenants described herein, and other good and valuable consideration, the receipt and sufficiency of which the Parties hereby acknowledge, Grantor and Grantee do hereby grant, covenant, and agree to the following: 1. Grant of Easement. Grantor hereby grants to Grantee, without warranty of title, a permanent easement to be used for the sole purposes of (i) the construction of certain utility improvements (the "Utilities ")(ii) the ingress and egress by the Grantee in connection with the installation of the Utilities, and (iii) the operation and maintenance of such equipment as may be necessary to the installation of the Utilities. Such easement shall encumber a 20 foot strip of land denominated as the "proposed 20' easement" on the Exhibit B attached hereto and incorporated herein by reference (the "Easement Area "). 2.
