DURABLE POWER OF ATTORNEY

<br />I, Maxine A. Failing, of Grand Island, Nebraska, make, constitute and appoint my
<br />daughter, Sue Ann Anderson, of Omaha, Nebraska, my true and lawful attorney in fact for me
<br />and in my name, place and stead, on my behalf, and for my use and benefit:
<br />1. To deposit in my name and for my account with any bank or other financial institution all
<br />moneys payable or belonging to me, including checks and all other commercial instruments, and
<br />to sign my name and endorse all documents for deposit or collection or any other purpose.
<br />2. To withdraw all moneys deposited with any bank or other financial institutions and to
<br />draw checks, sign withdrawal slips and execute any other instruments necessary for
<br />withdrawing moneys belonging to me.
<br />3. To sell, transfer, exchange, mortgage, encumber by security agreement, or any other form
<br />or encumbrance my real estate and personal property, and to execute and deliver deeds,
<br />including deeds of warranty, contracts, bills of sale, mortgages, security agreements and
<br />other documents necessary to act in carrying out these powers.
<br />4. To collect, sue, compromise or otherwise dispose of any claim or debt due or payable to
<br />me, and to pay, compromise or otherwise discharge and secure releases from any obligations
<br />owed to me.
<br />5. To hold, manage, invest, reinvest, trade, exchange, buy and sell investments and
<br />investment securities.
<br />6. To lease, rent, manage, terminate leases, contract as to, and generally deal and use my
<br />real estate and interests in real estate, upon covenants, conditions, and terms my attorney
<br />in fact shall determine, receive and collect all rents and all other amounts due me as
<br />security for the faithful performance of leases and all rents due and payable to me, and
<br />execute all necessary documents and other papers pertaining to my real estate.
<br />7. To perform any act, power, duty, right or obligation that I now have, or may hereafter
<br />acquire the legal right, power, or capacity to exercise or perform, relating to any person,
<br />transaction, thing, business property, real or personal, tangible or intangible, or matter
<br />whatsoever.
<br />If my daughter, Sue Ann Anderson, is incapacitated or unable to act as my attorney in
<br />fact for any reason, I appoint my son, Robert H. Failing, of Whitehorse Station, New Jersey,
<br />my true and lawful attorney in fact, for me and in my name, place and stead, and on my
<br />behalf, and for all the above uses and benefits.
<br />This Durable Power of Attorney shall not be affected by my disability as principal.
<br />I reserve the right to revoke this Durable Power of Attorney in writing.
<br />A photocopy of this Durable Power of Attorney has the same force and effect as the original
<br />signed and acknowledged by me.
