201404666 <br />3 . The President or Vice - President shall preside at all meetings of members and the <br />Secretary or a substitute shall record the minutes of all meetings of members. <br />4. Members of either class present in person or by proxy shall constitute a quorum for <br />any meeting of the members. <br />5. Each resident member and declarant member shall be entitled on the election of the <br />Directors to cast in person or by proxy as many votes accumulatively or otherwise <br />for each such membership held as there are Directors to be elected and shall be <br />entitled on any other matter or question voted upon by such members or by proxy, <br />one vote for each such membership held; provided that no limitations contained <br />herein with respect to the voting or the holding of proxies shall apply with respect to <br />the declarant member. <br />6. Unless otherwise required by these By -Laws, the majority vote of the entire member <br />of votes of members present in person or by proxy at any annual meeting or the <br />majority vote of the entire number of votes of any one or both membership classes <br />present in person or by proxy at any special meeting shall decide any matter or <br />question voted upon by such members. <br />D. Action Without Meeting. The Board of Directors may in place of holding any special meeting of <br />memberships submit any matter or questions to and take the vote of such members by telephone, fax, <br />email, or regular mail. <br />E. Privileges. Members shall be entitled to the privileges as follows: <br />1. Subject to regulations or rules from time to time adopted by the Board of Directors, <br />all individual unit resident members and their business invitees shall be entitled as <br />appropriate to enjoy or otherwise use all common facilities and all common individual <br />services operated or provided by the corporation. <br />2. In like manner, all resident unit members and their respective units within the limits <br />of the condominium regime included in membership shall be entitled to benefit from or <br />otherwise to participate in all common functions. <br />F. Discipline and Enforcement. Members shall be subject to disciplinary and enforcement measures as <br />follows: <br />1. All resident members shall be subject to partial or total denial access to, benefit <br />from, or use of all or any facilities, functions or services, partial or total suspension <br />of membership privileges, or any other disciplinary action directed by the Board of <br />Directors for failure to pay any dues or charges or for any other act or omission <br />detrimental to the affairs of the corporation or otherwise improper. <br />2. The corporation shall be entitled at any time or from time to time to institute any <br />equitable or legal proceedings appropriate, convenient or necessary to collect any <br />dues or charges or to enforce any covenant or easement of concern to it, or to take <br />any appropriate, convenient or necessary action against any member or any unit <br />owner within the limits of the condominium property regime included in <br />membership. <br />SECTION II. <br />
