201404666 3 . The President or Vice - President shall preside at all meetings of members and the Secretary or a substitute shall record the minutes of all meetings of members. 4. Members of either class present in person or by proxy shall constitute a quorum for any meeting of the members. 5. Each resident member and declarant member shall be entitled on the election of the Directors to cast in person or by proxy as many votes accumulatively or otherwise for each such membership held as there are Directors to be elected and shall be entitled on any other matter or question voted upon by such members or by proxy, one vote for each such membership held; provided that no limitations contained herein with respect to the voting or the holding of proxies shall apply with respect to the declarant member. 6. Unless otherwise required by these By -Laws, the majority vote of the entire member of votes of members present in person or by proxy at any annual meeting or the majority vote of the entire number of votes of any one or both membership classes present in person or by proxy at any special meeting shall decide any matter or question voted upon by such members. D. Action Without Meeting. The Board of Directors may in place of holding any special meeting of memberships submit any matter or questions to and take the vote of such members by telephone, fax, email, or regular mail. E. Privileges. Members shall be entitled to the privileges as follows: 1. Subject to regulations or rules from time to time adopted by the Board of Directors, all individual unit resident members and their business invitees shall be entitled as appropriate to enjoy or otherwise use all common facilities and all common individual services operated or provided by the corporation. 2. In like manner, all resident unit members and their respective units within the limits of the condominium regime included in membership shall be entitled to benefit from or otherwise to participate in all common functions. F. Discipline and Enforcement. Members shall be subject to disciplinary and enforcement measures as follows: 1. All resident members shall be subject to partial or total denial access to, benefit from, or use of all or any facilities, functions or services, partial or total suspension of membership privileges, or any other disciplinary action directed by the Board of Directors for failure to pay any dues or charges or for any other act or omission detrimental to the affairs of the corporation or otherwise improper. 2. The corporation shall be entitled at any time or from time to time to institute any equitable or legal proceedings appropriate, convenient or necessary to collect any dues or charges or to enforce any covenant or easement of concern to it, or to take any appropriate, convenient or necessary action against any member or any unit owner within the limits of the condominium property regime included in membership.
