<br />   		the  assets of my estate of  every nature whatsoever and wheresoever
<br />   		situated.    In the  event that my wife  is  not  living thirty  (30)  days
<br />   		after the  date of my death,  I  give,  devise and bequeath all  of  said
<br />   		rest,  residue and remainder of the assets  of my estate,  instead,  unto
<br />   		my  son,  Jean W.  Rockwell,  in fee  simple absolute,  with right of  rep-
<br />   		resentation,  per stirpes,  for his  descendants  in the  event that he  too
<br />   		should either predecease me  or fail  to be living,  if he  sarvives me,
<br />   		as� of the  date of  death of my wife.
<br />  										IV.
<br />    			"I  fully empower my executors,  at any time following my death,
<br />   		to  sell any of  the  assets of my estate,  including real estate,  at
<br />   		such prices,  on  such terms,  and in  such manner,  whether at priv,ate or
<br />�   		public  sale,  as they,  in their  sole  discretion,  may determine to be
<br />'   		for the best interests  of my estate and without the necessity of pro-
<br />'   		curing  the leave,  license or approval  of  any court or beneficiary.    I
<br />   		direct that any purchaser need not  see to  the proper application of
<br />   		the purchase monies.    I  furtizer direct that my executors may make dis-
<br />   		tribution of  the assets to the beneficiaries  in kind as well  as  in
<br />�   		cash,  as they,  in their  sole  discretion,  may determine and without
<br />   		the  necessity of procuring the  leave or approval  of any court.    I
<br />   		f ully empower my executors  to  settle,  adjust or compromise any claims
<br />�   		whatsoever,  whether in favor of  or against my estate,  on  such terms,
<br />   		as they,  in their  sole  discretion,  may determine to be for the best
<br />   		interests of my estate  and without the necessity of procuring the
<br />   		leave  or approval of  any court.    I  exonerate my executors  from any
<br />�   		personal  liability arising from  any decline  in dollar value or pur-
<br />   		chasing power of  any assets of my estate,  or assets acquired by my
<br />   		executors  after my death and prior to  full  distribution of my estate.
<br />   		I  fully authorize any of my executors  to purchase any of the  assets of
<br />   		my estate,  irrespective of his  fiduciary poWition on  such terms as  the
<br />   		court having jurisdiction of the probate of  this will may deem fair
<br />   		and reasonable.    I waive  any privilege with  respect to confidential
<br />   		communications had at any time between me and any of the attesting
<br />   		witnesses to this will  and had at any time between me and my attorney,    	�

<br />    			"WITNESS my hand to this my last will and testament,  typewritten
<br />   		upon two  sheets of paper,  upon the bottom margin of  the  first page  I
<br />   		have also written my name  for greater  security and better identifica-
<br />   		tion,  this  7  day of March,  1963.

<br />    			"On this  7th day of March,  1963,  Floyd B.  Rockwell  declared to  us,
<br />   		the undersigned,  that tlze foregoing  instrument was his  last will and
<br />   		testament and he requested  us to  act a,s witnesses  to the same and to
<br />   		his  signature thereon.  He thereupon  signed said will  in our presence,
<br />   		we being present at the same  time.   And we  now,  at his request,  in his
<br />   		presence,  and in the presence of  each other do hereunto  subscribe our
<br />   		names as witnesses.   And we and each of  us  declare  that we believe this
<br />   		Testator to be of  sound mind and disposing memory and acting  under no
<br />   		coercion nor undue  influence.

<br />  		purporting to be the last will and testainent thereto of Floyd B.  Rockwell
<br />  		d�ceased,  was  filed for probate  in this Court.    That on the  I.8th dag qf
<br />  		August,  1966,  said instrument to which this  certificate ,is attached was
<br />  		duly proved,  probated and allowed as  the  last will and testament of  the
<br />  		real  and personal estate of  said Floyd B.  Rockwell,  Deceased,  and the
<br />  		same was ordered to be recorded in the  records of the Court aforesaid.
