r n X = - n C (Trustee's Original) FIFTH ADDENDUM TO LEASE PURCHASE AGREEMENT v ry Cn Cr This Fifth Addendum to Lease Purchase Agreement (the "Fifth Addendum ") is dated as of the 18th day of June, 2014 by and between the CENTRAL COMMUNITY COLLEGE AREA, in the State of Nebraska ( "College ") and CENTRAL COMMUNITY COLLEGE FACILITIES CORPORATION, a Nebraska nonprofit corporation (the "Corporation "). RECITALS WHEREAS, the College and the Corporation have entered into a Lease - Purchase Agreement dated as of July 1, 2009 (the "Original Lease Purchase Agreement "), relating to the construction and acquisition of a health science education center addition which the College proposes to lease and acquire '0 for the benefit of the College; WHEREAS, the Corporation has entered into a Trust Indenture and Security Agreement dated as of July 1, 2009 with Wells Fargo Bank, National Association, as trustee (the "Trustee "), (the "Original Indenture ") pursuant to which the Corporation issued, on behalf of the College, the Corporation's Building Bonds (Health Science Education Center Project), Series 2009A, in the principal amount of $4,310,000 (the "2009A Bonds "); and, in connection therewith, the Corporation and the College entered into that First Addendum to Lease Purchase Agreement, dated as of July 1, 2009, (the "First Addendum "); WHEREAS, the Indenture has been supplemented by a First Supplemental Trust Indenture and Security Agreement dated as of September 1, 2009 with the Trustee (the "First Supplemental Indenture ") under which the Corporation issued, on behalf of the College, the Corporation's Building Bonds (Health Science Education Center Project), Series 2009B, in the principal amount of Three Million Six Hundred Thousand Dollars ($3,600,000) (the "2009B Bonds "); and, in connection therewith, the Corporation and the College entered into that Second Addendum to Lease Purchase Agreement, dated as of September 1, 2009, (the "Second Addendum "); ry W cn C) -4 C Z., 00
