ARTICLE V <br />CONSTRUCTION FUND AND ESCROW FUND <br />201403666 <br />Section 1. There are hereby created and established with the Trustee trust funds in the <br />names of the Corporation designated the "2014 Construction and Acquisition Fund" (the "2014 <br />Construction Fund ") and the 2014 Escrow Fund (the "2014 Escrow Fund "). The net sale proceeds from the <br />sale of the Series 2014 Bonds, including accrued interest, shall be deposited into the 2014 Construction <br />Fund and the 2014 Escrow Fund as provided in this Article V. The Trustee shall keep and maintain <br />adequate records pertaining to the 2014 Construction Fund and the 2014 Escrow Fund and shall provide an <br />accounting thereof to the College and the Corporation when requested or when such accounts are closed. <br />Section 2. 2014 Construction Fund: $28,394.52 from the net proceeds of the Series <br />2014 Bonds shall be deposited into the 2014 Construction Fund to pay costs of issuance on the Series 2014 <br />Bonds. Monies in the 2014 Construction Fund shall be expended to pay costs of issuance of the Series 2014 <br />Bonds upon requisitions for payment signed by the Project Manager or Alternate Project Manager. The <br />Trustee is hereby authorized and directed to cause disbursements to be made from the 2014 Construction <br />Fund upon receipt of requisitions for payment signed by the Project Manager or Alternate Project Manager. <br />Any monies remaining in the 2014 Construction Fund 90 days after the date of issuance of the Series 2014 <br />Bonds shall be transferred to the Bond Fund and used to pay interest first falling due on the Series 2014 <br />Bonds. <br />Section 3. 2014 Escrow Fund: $2,536,270.78, consisting of (i) $2,501,205.78 from <br />proceeds of the Series 2014 Bonds, together with (ii)' $35,065.00 from the debt service accounts for the <br />Refunded Bonds will be transferred to the Trustee in the Trustee's capacity as escrow agent to be used to <br />pay the principal of and interest on the Refunded Bonds, all as more fully described in the Escrow <br />Agreement. <br />ARTICLE VI <br />MISCELLANEOUS <br />Section 1. The Corporation hereby covenants to the purchasers and holders of the Bonds that <br />it will make no use of the proceeds of said bond issue which would cause the Series 2014 Bonds to be <br />arbitrage bonds within the meaning of Section 103(b) and 148 of the Code and further directs the Trustee to <br />comply with said Section 103(b) and 148 and all applicable regulations thereunder throughout the term of <br />said bond issue. <br />Section 2. The Trustee hereby confirms its acceptance of the trusts as provided in the <br />Indenture and hereby accepts the supplemental trusts imposed upon it by this Fourth Supplemental Trust <br />Indenture and Security Agreement, all subject to the express terms and conditions set forth in the Original <br />Indenture, as amended and supplemented. The Corporation may remove and replace the Trustee upon 30 <br />days notice in writing from the Corporation to the Trustee. If removed and replaced, the Trustee shall <br />transfer all accounts to the successor trustee and shall give the Corporation and the College an accounting of <br />all such accounts and activities. <br />Section 3. This Fourth Supplemental Trust Indenture and Security Agreement may be <br />simultaneously executed in several counterparts, each of which shall be an original and all of which shall <br />constitute but one and the same instrument. <br />18 <br />
