Elsbernd <br />I, Paula Peters, as named Advisor to the Irrevocable Trust of Yvette M. Elsbemd, hereby <br />nominate myself as the Successor Trustee of this Trust Agreement, as a result of the death of the <br />initial Trustee, Todd V. Elsbernd as evidenced by the attached death certificate, pursuant to <br />paragraph SIXTH (a) as stated below: <br />"SIXTH (a) If Todd V. Elsbemd, or any successor to him, for any reason fails or ceases <br />to act as the Trustee hereunder, the Advisor hereinafter named shall have the right and power to <br />appoint as its successor any bank or trust company that shall have been licensed to engage in trust <br />business for as least five (5) years immediately prior to such appointment and which shall then <br />have capital and surplus of at least Five Million Dollars ($5,000,000).
