201401223 . � � AMENDMENT TO SERVICES AGREEMENT This Amendment to Service and Marketing Ab eement is made this �Z day of �df��t i'��/� , 2014 by and between CHARTER COMMUNICATIONS VI, LLC, a limited liability company ("Gharter") and LUTHERAN HOMES, INC., a Nebraska corporation("Owner"). WHEREAS, Charter and Owner entered into that certain Nonexclusive Installation and Service Agreement ("Agreement"), dated February 15, 2012, regarding Chrysalis Lutheran Homes (the "Property" or"Project"), more particularly described in Exhibit "A" attached hereto; and V6'I�REAS, the Project which is the subject of the above-referenced Agreement is or will be secured by a mortgage insured by the United States Department of Housing and Urban Development ("HLTD"); and WHEREAS, H[JD requires that certain provisions be included in the Agreement in order to comply with HLJD's rules and regulations; and NOW, THEREFORE, in consideration of the foregoing premises and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties ab ee to amend the Agreement as follows: � l. The following sentence is added to the end of Section 5: "Notwithstanding the foregoing, in the event HUD becomes the owner of the Property through foreclosure or deed in lieu of foreclosure, the indemnification provisions contained in this Section 5 shall not apply to HUD; provided, however, this Section 5 shall continue to be applicable to all subsequent owners of the Property, including a purchaser from HLTD." 2.
