Perry, being first duly sworn on her oath, states as follows: <br />CD <br />G <br />U <br />1. I am a Co- Chancellor of Great Plains Annual Conference of The United <br />Methodist Church, am familiar with its organization and history, and all matters stated herein. <br />2. On August 23, 2013, The Nebraska Annual Conference of The United Methodist <br />Church, a Nebraska nonprofit corporation ( "Nebraska Conference ") and Great Plains Annual <br />Conference of the United Methodist Church, a Kansas not for profit corporation, entered in to a <br />Plan of Merger, to merge into a single corporation, with Great Plains Annual Conference of the <br />United Methodist Church ( "Great Plains ") being the surviving corporation, effective January 1, <br />2014. <br />3. Prior to such consolidation, Nebraska Conference was the fee simple record title <br />owner of real property in Hall County, Nebraska, including improvements, (the "Property "), <br />holding the same in trust, that said premises shall be kept, maintained, and disposed of for the <br />benefit of The United Methodist Church and subject to the usages and the Discipline of the <br />United Methodist Church. <br />4. Pursuant to NEB. REV. STAT. § 21- 19,122 and the Plan of Merger, upon such <br />merger Great Plains succeeded, without any other transfer, to all the rights of Nebraska <br />Conference in and to the Property. From and after January 1, 2014, Great Plains is the fee <br />simple record title owner of the Property, holding the same in trust, that said premises shall be <br />kept, maintained, and disposed of for the benefit of The United Methodist Ch and subject to <br />the usages and the Discipline of the United Methodist Church. <br />OP v <br />4 7r.
