<br /> 9. Failure of Assignee to avail iwself of any of the temns�covenants and conditions
<br /> of this Assignment shall not be construed or deemed to be a waiver of any of its rfghts
<br /> hereunder. The rights and r.emedies of the Assignee under this Assignment are cumulative
<br /> and are not in lieu of but are in addition to, and shall not be affected by the exercise of,
<br /> any other rights and remedies which Assignee shall have under or by virtue of law or
<br /> equity, the Loan Documents or the Tranche A Exchange Note Documents(collectively,
<br /> the "OtherRights"). The rights and remedies of Assignee hereunder may be exercised
<br /> independontly of or concurrently with any of the Other Rights at any time or from time
<br /> to time.
<br /> 10. Assignee hereby gives Assignar a license to exercise all of its rights as
<br /> landlord or otherwise with respect w the Operating Lease or any other I.eases,to cAllect
<br /> all the R�nts, and to retain, use and e�oy the same in accordance with the Loan
<br /> Documenu and the Tranche A Exchange Note Documents. Thi3 Assignment shall
<br /> continue in full force and effect untU the satisfaction and cancellation of the Mortgage as
<br /> provided in Section 3.05(a)of the Mortgage, and upon such occurrence,this Assignrnent
<br /> and the authority and powers herein granted by Assignor to Assignee shall cease and
<br /> terminate,ar�d, m that event, Assignee shall (i) exeaute and deliver to Assignor such
<br /> instrument or instruments effective to evidence the�crmination of this Assignment uxi the
<br /> reassignment to Assignor of thc rights,powers and authorities granted herein as may bc
<br /> reasonably requested by Assignor, ancl (ii) deliver to Assignor any monies held by

<br /> Assignee shall deliver to Assignor any monies with respect to any Property
<br /> held by Assignee for the benefit of Assignor. Assignor agras that,upon any release and
<br /> reassignment contemplated by the precedmB sentence, it shall assume payment of all
<br /> unmatured or unpaid charges,expenses or obligatio W�luicri��g�I��dY Assig�nor
<br /> in connecdon with the management of any Property
<br /> will pay all costs and eapenses, uicluding attorneys' fees and disbursements. incurred by
<br /> Assignee in connection with any such amendment.
<br /> i l. All of the covenants, agreements and provisions in tliis Assignment binding
<br /> upon or for the benefit of Assignor or Assiguee shall bind and inure to the benefit of their
<br /> respective successors and assigns.
<br /> 12. All notices,demands or requests made pursuant to this Assignment shall be
<br /> given in the manner set forth in Section 3.02 of the Mortgage.
