,14 0 4'0 <br />(collectively, "Legal Requirement Documents "). Borrower and Lender shall be <br />obligated to sign and deliver to Lessee, a Legal Requirement Document only if: <br />(i) Lessee certifies to Borrower and Lender in writing in the form attached <br />hereto as Schedule I(A); <br />(ii) Guarantor certifies to Borrower and Lender in writing in the form attached <br />hereto as Schedule I(A); and <br />(iii) such other documentation, instruments, certificates, and title insurance <br />policy endorsements as Lender may reasonably request are delivered by Lessee. <br />For purposes of this paragraph 9(h), a Legal Requirement Document shall not include a <br />sale, conveyance or easement of all or a portion of the Premises in connection with the <br />exercise of the power of eminent domain (commonly referred to in some jurisdictions <br />as a "deed -in- lieu" of condemnation), which sales, conveyances or easements are <br />governed by paragraph 6 of this Security Instrument. <br />(B) promptly upon notice from Lessee (and in no event later than thirty (30) days after <br />the certification and documentation required below shall have been provided by <br />Lessee), Borrower and Lender shall sign and deliver to Lessee documentation which <br />Lessee may desire for the benefit of the Mortgaged Property (or for the benefit of any <br />property adjacent or proximate to the Mortgaged Property presently or previously <br />owned or ground leased by Lessee or an affiliate of Lessee) including, without <br />limitation, easements, covenants, declarations, waivers, approvals or restrictions for <br />utilities, parking, access (i.e., ingress and/or egress) or other matters (or amendments, <br />consents, waivers or approvals thereof) (collectively, `Beneficial Documents "). <br />Borrower and Lender shall be obligated to sign and deliver to Lessee a Beneficial <br />Document only if: <br />(i) Lessee certifies to Borrower and Lender in writing in the form attached <br />hereto as Schedule I(B); <br />(ii) Guarantor certifies to Borrower and Lender in the form attached hereto as <br />Schedule I(B); and <br />(iii) such other documentation, instruments, certificates, and title insurance <br />policy endorsements as Lender may reasonably request are delivered by Lessee. <br />(C) in the event that a third party requests that Lender, Borrower and/or Lessee sign, <br />consent or take any action in connection with a document affecting in any way the <br />Mortgaged Property (including, without limitation, any easements, covenants, <br />declarations, agreements, waivers, approvals or restrictions (or amendments thereto)) <br />(collectively, "Third Party Requested Documents "), Borrower and Lender shall not sign <br />or consent thereto unless Lessee has consented in writing to said documents (which <br />consent Lessee may withhold in its sole discretion, unless Borrower is required to act <br />reasonably in connection with such Third Party Requested Document, in which case, <br />Lessee's consent shall not be unreasonably withheld).
