rn m IV o� � rn m 0 �> rn o 0 z rn IV rn 0o rn o o oz 0- LI' co 5 0 z �z — m rn 1- H M m o ! 0) [01 l � Z 0 SUBSTITUTION OF TRUSTEE,REQUEST FOR RECONVEYANCE AND DEED OF RECONVEYANCE PIONEER TRAIL ENERGY, EEC, a Delaware limited liability company ("Borrower"), as borrower, granted to FIRST AMERICAN TITLE INSURANCE COMPANY, as original trustee ("Trustee"), for the benefit of FIRST NATIONAL BANK OF OMAHA, a national banking association, successor in interest to DEUTSCHE BANK TRUST COMPANY AMERICAS, as collateral agent ("Collateral Agent"), a lien upon that certain parcel of real property legally described in Exhibit A attached hereto, together with all buildings, fixtures, improvements and appurtenances belonging to such real property and leasehold interests therein (collectively, the "Property"), pursuant to (a) that certain Fee Simple and Leasehold Deed of Trust, Security Agreement, Assignment of Leases, Rents and Profits, Financing Statement and Fixture Filing dated as of September 25, 2006 and recorded October 3, 2006 as Instrument No. 200608869 in the records of Hall County, Nebraska and (b) that certain Fee Simple and Leasehold Deed of Trust, Security Agreement, Assignment of Leases, Rents and Profits, Financing Statement and Fixture Filing dated as December 15, 2006 and recorded December 21, 2006 as Instrument No. 2006-9710 in the records of Buffalo County,Nebraska(together with all amendments,modifications and supplements thereto,collectively,the"Deed of Trust"). All of the indebtedness and obligations secured by the Deed of Trust have been paid in full, Collateral Agent does hereby substitute itself as trustee in place of the original Trustee and has executed and delivered this instrument(this"Deed of Reconveyance"). NOW, THEREFORE, in consideration of the payment in full of the indebtedness and obligations secured by the Deed of Trust, Collateral Agent does by these presents, grant,remise, release and reconvey to the person or persons entitled thereto all the interest and estate in the Property conveyed and encumbered by and through the Deed of Trust.
