Section 6. Quorum. <br />A quorum for Association meetings shall consist of the presence, in person or by proxy, of <br />a majority of unit owners of the condominium as set forth in Article VII of the Master Deed and <br />Declaration. <br />Section 7. Voting. <br />The owner or owners of each unit or some person designated by such owner or owners to act <br />as proxy on his or their behalf and who need not be an owner, shall be entitled to cast the votes <br />appurtenant to such unit at all meetings. The designation of any such proxy shall be made in writing <br />to the Secretary, and shall be revocable at any time by written notice to the Secretary, by the owner <br />or owners so designating. In instances of other than individual ownership, any or all of such owners <br />may be present at any meeting of the owners and (those constituting a group acting unanimously), <br />may vote or take any other action as an individual owner either in person or by proxy. However, no <br />person may act as proxy for the owner or owners of more than one unit. A fiduciary shall be the <br />voting member with respect to any unit owned in a fiduciary capacity. <br />Section 8. Majority Vote. <br />201309492 <br />The vote of a majority of the votes represented at a meeting at which a quorum shall be <br />present shall be binding upon all unit owners for all purposes except wherein the Master Deed and <br />Declaration or these By -Laws require a higher percentage vote. <br />Section 9. Procedure. <br />The President shall preside over members' meetings and the Secretary shall keep the minute <br />book wherein the resolutions shall be recorded. <br />Section 10. Adjournment. <br />If any meeting of the Association cannot be held because a quorum has not attended, a <br />majority in common interest of the unit owners who are present at such meeting, either in person or <br />by proxy, may adjourn the meeting to a time not less than forty-eight (48) hours from the time the <br />original meeting was called. <br />Section 1. Number and Qualification. <br />Section 2. Powers and Duties. <br />ARTICLE III. EXECUTIVE BOARD <br />The affairs of the Association and the Condominium shall be governed by an Executive <br />Board (also called "Directors "). Declarant, pursuant to Article VI of the Master Deed and <br />Declaration shall designate all members of the Executive Board and officers of the Association. The <br />Executive Board shall be composed of not less than three (3) nor more than eight (8) persons, all of <br />whom shall be unit owners in the Condominium, unless at the time there are less than three owners <br />in the Condominium. <br />The Executive Board shall have the powers and duties necessary for the administration of <br />the affairs of the Association and the Condominium, and may do all such acts and things except as <br />by law or by the Master Deed and Declaration or by these By -Laws may not be delegated to the <br />Executive Board by the unit owners. Such powers and duties of the Executive Board shall include <br />but shall not be limited to the following: <br />(a) Operation, care, upkeep and maintenance of the common areas, <br />limited common areas, and facilities. <br />3 <br />
