201307634 cbligation to look beyond the plain meaning of the provisions of this power of attorney and Sections 49 -1501 through 49 -1561 of Nebraska Revised Statutes to determine the'authority of my Agent to do or to refrain from doing any particular act. A written verification signed by my Agent and acknowledged before a Notary Public or other officer authorized to administer oaths in the place of execution of the verification by which my Agent verifies that (i) this power of attorney has not been revoked and (ii) that my Agent has not received actual notice of my death shall constitute conclusive evidence that this power of attorney continues to then be in full force and effect and no person or entity shall have any duty to inquire further. The powers herein granted to my Agent are not exclusive to my Agent; instead, these powers may be exercised by either my Agent or by me at any time I am competent to do so. CONTINGENT POWERS If Larry L. Wilsey, who I have named as my Agent in the above and foregoing Power of Attorney, either (i) resigns as my Agent or (ii) by reason of physical or mental incapacity becomes unable to carry on as my Agent, then I do hereby appoint my son, Lloyd A. Wilsey, whose present address and telephone number are: 1833 N. Hancock Avenue, Grand Island, Nebraska 68803; phone 308 - 384 -8741, as my Successor Agent. This appointment is a contingent durable power of attorney as defined in Section 49- 1511 of the Nebraska Revised Statutes. My Successor Agent shall have all power and authority granted herein to my original Agent just as if my Successor Agent had been the only Agent appointed by me in this document. My Successor Agent may conclusively establish the occurrence of either contingency (i) or (ii) stated above by affidavit and any and all persons dealing in good faith with my Successor Agent may rely upon such affidavit as conclusive evidence that one of the contingencies has occurred and my Successor Agent then has the full power and authority to act for me and on my behalf to the same force and effect as if my Successor Agent had been appointed herein as my original Agent. 3
