201306403 <br /> Return To: Nathan J.Guns. <br /> urnsey,Woods&Aitken LLP,301 S. 13"Street,Suite 500,Lincoln,NE 68508 <br /> MEMORANDUM OF GROUND LEASE AGREEMENT <br /> This MEMORANDUM OF GROUND LEASE AGREEMENT is executed effective as <br /> of the 15th day of April, 2013, by and between HALL COUNTY LIVESTOCK <br /> IMPROVEMENT ASSOCIATION, a Nebraska nonprofit corporation ("Lessor"), and the <br /> NEBRASKA STATE FAIR BOARD flk/a the Nebraska State Board of Agriculture, a private <br /> corporation established under the authority Neb. Rev. Stat. § 2-101 and an instrumentality <br /> serving the State of Nebraska and its citizens under the terms provided for in Neb. Rev. Stat. <br /> Article 1 of Chapter 2 ("Lessee"). <br /> RECITALS <br /> WHEREAS, Lessor is the owner of the real property generally located in Hall County, <br /> Nebraska, and legally described on Exhibit "A" attached hereto and incorporated herein by this <br /> reference(the"State Fair Property"); and <br /> WHEREAS, Lessor, Lessee, Former Park Exposition and Events Center, Inc., a Nebraska <br /> nonprofit corporation, and the City of Grand Island, Nebraska, a municipal corporation entered <br /> into that certain Lease dated July 1, 2009 (as amended, the "State Fair Lease"), with respect to <br /> the State Fair Property, pursuant to which Lessee has exclusive possession of the State Fair <br /> Property during certain periods of time during each calendar year for purposes of operating the <br /> Nebraska State Fair; and <br /> WHEREAS, pursuant to that certain Ground Lease Agreement dated April 15, 2013 (the <br /> "Lease"), Lessee leased from Lessor, and Lessor leased to Lessee, that certain portion of the <br /> State Fair Property legally described on Exhibit "B" attached hereto and incorporated herein by <br /> this reference (the "Leased Premises"), for such periods of time and in accordance with the terms <br /> and conditions set forth in the Lease. <br /> NOW THEREFORE, Lessor and Lessee hereby execute this Memorandum of Ground <br /> Lease Agreement for the purpose of acknowledging the parties' respective interests in, and rights <br /> and obligations under, the Lease and recording the same in the office of the Register of Deeds of <br /> Hall County,Nebraska. ezcog_t E D By ; <br /> & rastaTitre Company <br /> 60th c3'Old Chem, pat <br /> Suite 300 <br /> TO.
