2. Easement Area. The Easement Area shall consist of any area forty <br />(40) feet wide with twenty (20) feet on each side of the property line between Lot 2 <br />and Lot 3 and said real estate is legally described as: <br />The west three hundred twenty five and seventy -three hundredths <br />(325.73) feet of the south twenty (20) feet of Lot 3 and the west <br />three hundred twenty five and seventy -three hundredths (325.73) <br />feet of the north twenty (20) feet of Lot 2, all in Chief /Westgate <br />Subdivision, Hall County, Nebraska. <br />201305726 <br />Upon written agreement, the Parties may, from time to time, mutually depict or <br />more particularly describe the Easement Area. <br />3. Binding Effect. This Easement shall be permanent and shall be <br />appurtenant to and run with the NEBCO Property and the Chief Property. The <br />grant of this Easement shall also be binding upon the heirs, executors, <br />administrators, successors and assigns of NEBCO and Chief. <br />4. Maintenance. Each Party shall maintain and keep in good repair <br />the Easement Area. <br />5. Liability. The sole rights granted herein are the rights to use the <br />Easement Area for the purposes described herein, and each Party shall be liable <br />to the other Party for any damage caused by the use of the Easement Area by <br />them or their employees, invitees, agents, successors or assigns, contrary to the <br />terms of this Easement. There shall be no liability on either Party, its successors <br />and assigns and persons occupying or lawfully present on the Easement Area <br />owned by the other Property for damage, if any, which may be caused by normal <br />and reasonable use of the Easement Area by vehicular or pedestrian traffic. <br />6. Termination. This Easement shall not be released, terminated, <br />revoked, amended, or modified in any manner, without written consent of the <br />parties, except as provided herein. Any purported release, termination, <br />revocation, amendment, or modification without such written consent shall be <br />null and void and of no force and effect. <br />7. Other Agreements. This Easement shall constitute the entire <br />easement and agreement between the owners of the NEBCO Property and the <br />Chief Property with respect to the subject matter hereof. <br />8. Further Assurances. Each undersigned party will, whenever it <br />shall be reasonably requested to do so by the other, promptly execute, <br />acknowledge, and deliver, or cause to be executed, acknowledged, or delivered, <br />any and all such further conveyances, confirmations, instruments, or further <br />assurances and consents as may be necessary or proper, in order to effectuate <br />the covenants and agreements herein provided. Each of the undersigned parties <br />shall cooperate in good faith with the other and shall do any and all other acts <br />and execute, acknowledge and deliver any and all documents so requested in <br />2 of 3 <br />
