201305319 <br />Section 5.26. FINAL AGREEMENT OF THE PARTIES. THE WRITTEN LOAN <br />DOCUMENTS REPRESENT THE FINAL AGREEMENT BETWEEN THE PARTIES <br />AND MAY NOT BE CONTRADICTED BY EVIDENCE OF PRIOR <br />CONTEMPORANEOUS, OR SUBSEQUENT ORAL AGREEMENTS OF THE <br />PARTIES. THERE ARE NO UNWRITTEN ORAL AGREEMENTS BETWEEN THE <br />PARTIES. <br />Section 5.27. CHOICE OF LAW. THE PROVISIONS OF THIS MORTGAGE <br />REGARDING THE CREATION, VALIDITY, PERFECTION, AND ENFORCEMENT, <br />INCLUDING, WITHOUT LIMITATION, FORECLOSURE OF THE LIENS AND <br />SECURITY INTERESTS HEREIN GRANTED SHALL BE GOVERNED BY AND <br />CONSTRUED UNDER THE REQUIREMENTS OF LAW OF THE RESPECTIVE <br />STATES IN WHICH THE MORTGAGED PROPERTIES ARE LOCATED. ALL <br />OTHER PROVISIONS OF THIS MORTGAGE AND THE RIGHTS AND <br />OBLIGATIONS OF MORTGAGOR, ADMINISTRATIVE AGENT, TRUSTEE, AND /OR <br />THE SECURED PARTIES HEREUNDER, SHALL BE GOVERNED BY, AND SHALL <br />BE CONSTRUED AND ENFORCED IN ACCORDANCE WITH, THE <br />REQUIREMENTS OF LAW OF THE STATE OF NEW YORK, WITHOUT REGARD <br />TO THE CONFLICT OF LAWS PRINCIPLES THEREOF. WITHOUT LIMITING THE <br />FOREGOING, TO THE EXTENT THAT THIS MORTGAGE APPLIES TO ANY REAL <br />PROPERTY INTERESTS LOCATED IN A PARTICULAR STATE, THIS MORTGAGE <br />SHALL BE CONSTRUED AND ENFORCED IN ACCORDANCE WITH AND <br />GOVERNED BY THE REQUIREMENTS OF LAW OF SUCH STATE WITH RESPECT <br />TO THE FOLLOWING MATTERS: (1) WHETHER ANY TRANSACTION RELATING <br />TO THIS MORTGAGE TRANSFERS OR CREATES AN INTEREST IN SUCH REAL <br />PROPERTY FOR SECURITY PURPOSES OR OTHERWISE; (2) THE NATURE OF AN <br />INTEREST IN SUCH REAL PROPERTY THAT IS TRANSFERRED OR CREATED BY <br />ANY TRANSACTION RELATING TO THIS MORTGAGE; (3) THE METHOD FOR <br />FORECLOSURE OF A LIEN ON SUCH REAL PROPERTY; (4) THE NATURE OF AN <br />INTEREST IN SUCH REAL PROPERTY THAT RESULTS FROM FORECLOSURE; <br />OR (5) THE MANNER AND EFFECT OF RECORDING OR FAILING TO RECORD <br />EVIDENCE OF ANY TRANSACTION RELATING TO THIS MORTGAGE THAT <br />TRANSFERS OR CREATES AN INTEREST IN SUCH REAL PROPERTY. <br />Section 5.28. CHOICE OF VENUE. MORTGAGOR CONSENTS TO THE <br />JURISDICTION AND VENUE OF ANY COURT LOCATED IN A STATE IN THE <br />EVENT OF ANY LEGAL PROCEEDING UNDER THIS MORTGAGE FOR THAT <br />PORTION OF THE PROPERTY LOCATED IN SUCH STATE. <br />Section 5.29. Limitation on Liability of General Partner. The General Partner, as general <br />partner of Borrower, shall not be liable for the obligations of Borrower under this Mortgage, <br />including, without limitation, by reason of any payment obligation imposed by governing state <br />partnership statutes and any provision of the applicable limited partnership agreement of <br />Borrower that requires the General Partner to restore a capital account deficit. <br />54 <br />
