30 <br />10 <br />went ") a certificate of its President, any of its Vice Presidents or its <br />Treasurer to the effect that such Property is not being so purchased by <br />Lessee with or in anticipation of any such borrowing by Lessee. <br />The "projected depreciated net book value" of any Property shall <br />mean the net book value of such Property on the date of this Lease, <br />depreciated on the basis of the projections for such Property set forth <br />in the schedule delivered to various institutional investors, as pur- <br />chasers of Votes, pursuant to.the Vote Purchase Agreements upon the <br />execution and delivery of this Lease. <br />14. Discontinuance of Operations. If at any time during the term <br />of this Lease, because of legal restrictions, obsolescence, a shift in a <br />business, industrial or residential center, a relocation of a highway or <br />other traffic artery, a change of business conditions affecting the <br />profitable operation of any Property or other cause not within the <br />control of Lessee, it becomes impractical or uneconomical in Lessee's <br />opinion to operate or sublet for operation at a reasonable profit any <br />Property for the purpose for which it is now operated, Lessor shall <br />upon written request of Lessee, but subject to Section 15, convey such <br />Property to Lessee free and clear of any liens or encumbrances created <br />or permitted to be created thereagainst by Lessor; prodded, however, <br />that neither the rentals nor any other amount parable hereunder shall <br />be abated, deferred or diminished' on account thereof or on account of <br />failure by Lessor so to convey such Property. <br />15. Substitution of Properties. If at any time the net book value <br />on the date of this Lease of all Properties destroyed or damaged (and <br />not repaired or restored) or condemned by, or sold to, any government, <br />governmental agency or corporation having the power of eminent <br />domain or, because of any cause referred to in Section 14, rendered im- <br />practicable or uneconomical of operation during the term of this Lease <br />shall exceed the lesser of (a) the product of $307,000 and the number <br />of years during which this Lease shall have been in effect (each such <br />year commencing with the date the term of this Lease commences, or the <br />anniversary date thereof, and counting as a full year the then current <br />such year) or (b) $3,529,000, then Lessee (except to the extent <br />
