1. Right of First Refusal. PRRIF and WCT hereby affirm, amend, and ratify WCT's <br />Right of First Refusal in the Property, as granted under Easement Grant in Section IV.C, as <br />follows: <br />660318v4 <br />2 0 1 302861 <br />a. If at any time PRRIF, its successors or assigns receives or obtains a bona <br />fide written offer for the purchase of the Property, or any part of the <br />Property, which offer PRRIF, its successors or assigns desires to accept <br />(the "Offer "), PRRIF, its successors or assigns shall give written notice to <br />WCT (the "Offer Notice "), which Offer Notice shall delineate all of the <br />terms and provisions, and include a true copy, of the Offer. WCT shall <br />then have the right, option and privilege to purchase the Property from <br />PRRIF, its successors or assigns in accordance with, and upon the same <br />terms and conditions as set forth in the Offer. WCT shall notify PRRIF, its <br />successors or assigns of its election to purchase the Property, or the <br />portion being sold, in accordance with the terms and provisions of the <br />Offer within twenty (20) days after receipt of the Offer Notice. Any <br />failure by WCT to give notice of its election within such twenty day <br />period shall be deemed an election not to purchase the Property in <br />accordance with the Offer. If WCT elects to purchase the Property, or any <br />part thereof being sold by the Offer, it shall deposit a cashier's check or <br />bank draft for 15% of the purchase price in the Offer, and the closing and <br />consummation of such purchase shall occur in accordance with, and upon <br />the terms and conditions of, the Offer. If WCT does not elect to purchase <br />the Property, PRRIF, its successors and assigns shall be free to sell the <br />Property in accordance with, and upon the terms and conditions of, the <br />Offer. Upon the closing and consummation of such sale, and provided that <br />proper notice was given of said sale to WCT in accordance with this <br />provision, WCT's Right of First Refusal under this Agreement shall <br />terminate and be of no further force or effect. If PRRIF shall fail to close <br />and consummate the sale of the Property in accordance with the Offer, the <br />Property shall then again be subject to the Right of First Refusal with <br />respect to any and all subsequent Offers received or given by PPRIF.
