Permit the use of the Mortgaged Property for any other purpose except the <br />use for which it was originally intended, or permit commercial use greater than that <br />originally approved by HUD. <br />Amend the organizational documents of Borrower in a way that materially <br />modifies the terms of the organization, including, but not limited to: any amendment that <br />activates the requirement that a HUD previous participation certification be obtained from <br />any additional partner or member; any amendment that would authorize any officer, partner <br />or member other than the officer(s), general partner(s) or the managing member(s) of the <br />corporation, partnership or company or pre- approved successor officer(s), general <br />partner(s) or managing member(s) to bind the corporation, partnership or company for any <br />matters concerning the Project which requires HUD's consent or approval; a change in the <br />officer(s), general partner(s) or managing member(s) or pre- approved successor officer(s), <br />general partner(s) or managing member(s) of the corporation, partnership or company and <br />any proposed changes to the HUD - required provisions included in the organizational <br />documents. Copies of all fully executed amendments to the organizational documents must <br />be provided to HUD within ten (10) days of the effective date of the amendment. tf the <br />amendments to the organizational documents are recorded or filed, copies of the recorded <br />or filed documents must be provided to HUD within ten (10) days of receipt by Borrower. <br />j. Reimburse any party from Mortgaged Property for payment of expenses or <br />costs of the Project or for any purpose except for Reasonable Operating Expenses and in <br />a manner consistent with Section 15. <br />k. Receive any fee or payment of any kind from any managing agent, employee <br />of the Project or of the managing agent, or other provider of Goods or Services of the <br />Project, except for warranty claims from providers of Goods and Services. <br />Initiate or acquiesce in a change in the zoning classification of the Mortgaged <br />Property that results in any change in permitted use that was in effect at the time of <br />initial /final endorsement. <br />m. Establish any condominium or cooperative regime with respect to the <br />Mortgaged Property. <br />n. Materially change any unit configurations or change the number of units in <br />the Mortgaged Property. <br />37. VIOLATION OF AGREEMENT.
