<br />To request and receive distributions from any of my qualified plans, deferred
<br />compensation, other pension and retirement plans, or Individual Retirement Accounts; to
<br />give instructions for the purchase and sale securities in those plans and accounts to the
<br />extent permitted; to execute on my pebalf any powers of attorney or other instruments
<br />needed for those purposes; and to indorse notes, checks, drafts and bills of exchange
<br />associated with such plans and accounts, and to make contributions to those plans and
<br />accounts;
<br />To compound, compromise, settle and adjust all claims and demands whatsoever,
<br />due or hereafter to become due and owing or belonging to me, or which I may now or
<br />hereafter owe or be liable for, and to execute and deliver, or to receive, all proper
<br />receipts, and releases or discharges therefor;
<br />To grant extensions of time for the payment of any debts, claims, or demands, due
<br />or hereafter to become due or owing to me, for and on such terms as my said attorney-in-
<br />fact shall deem best, with or without security;
<br />To contract and pay for services or goods for me or any dependent of mine and to
<br />purchase assets of any kind, real or personal;
<br />To collect, receive, wig deposit, indorsing checks on my behalf as necessary, any
<br />dividends, interest, or other aperetipn or income, due or to become due upon any property
<br />whatsoever then owned by me, and to execute proper receipt, release and discharge
<br />therefor;
<br />To exercise any and all options, elections, rights and privileges given to me under
<br />the terms of any policy of insurance upon my life or on the life of any other person
<br />together with the right to exercise any and all rights, legal or equitable, which have
<br />accrued or may accrue to me by virtue of the ownership of any such policy, or by virtue
<br />of the fact that I am the beneficiary of any such policy, to borrow any sum in accordance
<br />with the provisions of any such policy, to receive (or apply against premiums) all
<br />payments, dividends, proceeds, surrender values, benefits and privileges of any kind
<br />which may accrue on account of any such policy of insurance, to receive, or indorse and
<br />to collect checks and other forms of payment in respect thereof, and to pay as my said
<br />attorney -in -fact shall deem best, the premium on any such policy or policies of insurance,
<br />provided, however, that no person serving as attomey -in fact hereunder shall exercise
<br />any right of ownership which I have with respect to life insurance on the life of such
<br />person;
<br />To execute any federal, state, county, municipal or other income, gift or property
<br />tax returns or declarations of estimated tax and to exercise related options and elections,
<br />and if I am then married, to consent to have the gifts made by both me and my spouse to
<br />third parties during any calendar year considered, for purposes of the federal gift tax, as
<br />having been made one - half by each of us;
<br />To represent me before any office of the Internal Revenue Service with respect to
<br />any and all federal income tax and federal gift tax matters with full power to perform any
<br />and all acts that I can perform, including the power to receive, to endorse and to collect
<br />checks in payment of any refund of Internal Revenue taxes, penalties, or interest; to
<br />delegate authority or to substitute another attorney or agent; to execute waivers or
<br />restrictions on assessment or collection of deficiencies in tax; to execute powers of
