<br />This Declaration of Protective Covenants is made this � day of October,
<br />2012, by PEDCOR INVESTMENTS, A LIMITED LIABILITY COMPANY, a Wyoming
<br />limited liability company, PEDCOR INVESTMENTS-1999-XL, L.P., an Indiana limited
<br />partnership, and PEDCOR INVESTMENTS-2005-LXXXII, L.P., an Indiana limited
<br />partnership (collectively "Grantor") with regard to the following real property:
<br />Lot 2, PEDCOR 2" Subdivision, an addition to the City of Grand
<br />Island, Hall County, Nebraska (herein the "Titan Parcel"); and
<br />Lot 1, PEDCOR 2" Subdivision, an addition to the City of Grand
<br />Island, Hall County, Nebraska, and Lot 3, PEDCOR Subdivision, an
<br />addition to the City of Grand Island, Hall County, Nebraska
<br />(collectively herein the "Pedcor Parcels").
<br />WHEREAS, PEDCOR INVESTMENTS, A LIMITED LIABILITY COMPANY, owns
<br />the Titan Parcel and has entere� into an agreement to sell the Titan Parcel to Titan
<br />Machinery, Inc., a Delaware corporation (herein "Buyer"); and
<br />WHEREAS, PEDCOR INVESTMENTS-1999-XL, L.P., and PEDCOR
<br />INVESTMENTS-2005-LXXXII, L.P., own and developed a multifamily housing
<br />development, commonly known as Riverbend Apartments, are affiliated with PEDCOR
<br />INVESMENTS, A LIMITED LIABILTY COMPANY, and are the owners of the Pedcor
<br />Parcels; and
<br />WHEREAS, as a condition of the sale of the Titan Parcel to Buyer the parties
<br />have agreed to the restrictions contained herein which burden the Titan Parcel for the
<br />benefit of the Pedcor Parcels.
