<br />LIMITED POWER OF ATTORNEY
<br />KNOW ALL PERSONS BY THESE PRESENTS, that the FEDERAL DEPOSIT
<br />INSURANCE CORPORATION, a Corporation organized and existing under an Act of congress,
<br />hereinafter called the "FDIC", acting in its Receivership capacity as Receiver for Washington
<br />Mutual Bank.
<br />WHEREAS, the undersigned has full authority to execute this instrument on behalf of the
<br />FDIC under applicable Resolutions of the FDIC's Board of Directors and redelegations thereaf.
<br />WHEREAS, FDIC designates Wells Fargo Bank, N.A., as its attorney-in-fact to act in its
<br />name, place and stead, as outlined below.
<br />WHEREAS Wells Fargo Bank, N.A., designates each of the individuals listed on Exhibit
<br />A, as officers of Wells Fargo Bank, N.A., hereinafter called the "Individuals", for the sole
<br />purpose of executing the documents outlined below:
<br />NOW, THEREFORE, the FDIC as Receiver for Washington Mutual Bank, grants to the
<br />Individuals as officers of Wells Fargo Bank, N.A. the authority, subject to the limitations herein,
<br />as follows:
<br />1. To execute, acknowledge, seal and deliver on behalf of the FDIC as Receiver for
<br />Washington Mutual Bank deeds of trusbmortgage note endorsements, lost note affidavits,
<br />assignments of deed of trust/mortgage and other recorded documents, partial of total
<br />satisfaction/release/reconveyances of deed of tnist/mortgage, UCC transfer documents,
<br />subordinations, tax authority notifications and declarations, deeds, bills of sale, and other
<br />instruments of sale, conveyance, and transfer, appropriately completed, with a11 ordinary or
<br />necessary endorsements, acknowledgements, affidavits and supporting documents as may be
<br />necessary or appropriate to effect its execution, delivery, conveyance, recordation or filing;
<br />2. To execute and deliver on behalf of FDIC as Receiver for Washington Mutual
<br />Bank, �davits of Debt, Substitutions of Trustee, Substitutions of Counsel, Non-Military
<br />Affidavits, Notices of Rescission, Foreclosure Deeds, Transfer Tax Affidavits, Affidavits of
<br />Merit, Verifications of Complaints, Notices to Quit, Bankruptcy Declazations for the piupose of
<br />filing motions to lift stays, and other documents or notice filing on behalf of Washington Mutual
<br />Bank in connection with foreclosure, bankruptcy and eviction actions;
<br />3. To endorse any checks or other instruments received by Wells Fargo Bank, N.A.
<br />and made payable to Washington Mutual Bank.
