s� , <br />201205633 <br />WHEREAS, the parties desire to effectuate such assignment and assumption by <br />executing this Agreement. <br />NOW, THEREFORE, in consideration of the foregoing recitals, the mutual covenants <br />herein contained and other good and valuable consideration, the receipt of which is hereby <br />acknowledged, and intending to be legally bound hereby, the parties agree as follows: <br />1. Assi�nment of Right, Title and Interest. Assignor hereby assigns, transfers and <br />conveys to Assignee all of Assignor's right, title and interest in, to and under the Lease. Nothing <br />contained herein shall be deemed to relieve Assignor of any of its obligations under the Lease <br />with respect to any and all periods, occurrences and matters prior to June 28�', 2012. <br />2. Assumption of Obli�;ations under Lease. Assignee hereby assumes and agrees to <br />perform and dischaxge all of the obligations and liabilities of Assignor under the Lease arising or <br />accruing from and after June 28�', 2012. <br />3. Successors and Assi�ns. This Agreement, and all rights and powers granted <br />hereby, shall bind and inure to the benefit of the parties hereto and their respective successors <br />and assigns. <br />4. Governin Law.
