201203856 CERTIFICATE OF MERGER I, Cindy R. Nicholson, Technical Editor, Office of General Counsel, Farm Credit Administration, pursuant to the authority vested in me by the Chairman of the Farm Credit Administration Board, DO HEREBY CERTIFY; 1. That the Farm Credit Administration (the FCA) gave final approval to the plan of merger for Farm Credit Services of the Mountain Plains, ACA (Mountain Plains), a federally chartered instrumentality of the United States, to merge with and into American AgCredit, ACA (American AgCredit and, together, the Merged Association) a federally chartered instrumentality of the United States, with the Merged Association surviving such merger (the Merger). The Merger is pursuant to the terms of an Agreement and Plan of Merger entered into among the Associations and the other parties thereto, which is on file with the FCA; 2. That the Merger was effective as of January 1, 2012 (the Effective Date); 3. That as of the Effective Date the Merged Association's name shall be American AgCredit, ACA. 4. That the following is a true and correct excerpt from said Agreement and Plan of Merger, as contained in the official records and files of the FCA: "Section 1.2. Succession Of Rights and Obligations. (b) On the Effective Date, subject to the provisions of the Act, Regulations, the Bylaws and the express terms and conditions of the Agreement and pursuant to the transactions described in Section 1.3, all of the properties, rights, privileges, powers, franchises, immunities and purposes (collectively, "Rights') of Mountain Plains shall vest in the Merged Association, and all of the debts, liabilities, obligations, restrictions and duties (collectively "Obligations') of Mountain Plains shall become Obligations of the Merged Association, all without further act or deed. " 5. That a true and correct copy of the amended and restated charter of American AgCredit, ACA is attached hereto. IN WITNESS WHEREOF, by direction of the Chairman of the Farm Credit Administration Board, I have hereunto set my hand and affixed the seal of the Farm Credit Administration on this 19th day of April 2012.
