201203855 CERTIFICATE OF MERGER I, Cindy R. Nicholson, Technical Editor, Office of General Counsel, Farm Credit Administration, pursuant to the authority vested in me by the Chairman of the Farm Credit Administration Board, DO HEREBY CERTIFY: 1, That the Farm Credit Administration (the FCA) gave final approval to the plan of merger for Farm Credit Services of the Mountain Plains, FLCA (Mountain Plains FLCA), a federally chartered instrumentality of the United States, to merge with and into American AgCredit, FLCA (American AgCredit FLCA and, together, the Merged Association) a federally chartered instrumentality of the United States, with American AgCredit FLCA surviving such merger (the FLCA Merger). The FLCA Merger is pursuant to the terms of an Agreement and Plan of Merger entered into among the Associations and the other parties thereto, which is on file with the FCA; 2. That the FLCA Merger was effective as of January 1, 2012 (the Effective Date); 3. That as of the Effective Date the Merged Association's name shall be American AgCredit, FLCA. 4. That the following is a true and correct excerpt from said Agreement and Plan of Merger, as contained in the official records and files of the FCA: "Section 1.4. Subsidiary Mergers. (b) Pursuant to the FLCA Merger, the separate existence of Mountain Plains FLCA shall cease, and all Rights of Mountain Plains FLCA shall vest in, and all Obligations of Mountain Plains FLCA shall become Obligations of, American AgCredit FLCA, all without further act or deed. " 5. That a true and correct copy of the amended and restated charter of American AgCredit, FLCA is attached hereto. IN WITNESS WHEREOF, by direction of the Chairman of the Farm Credit Administration Board, I have hereunto set my hand and affixed the seal of the Farm Credit Administration on this 19th day of April 2012.
