<br />C01 .TERAL ASSIGNMENT OF LEAS:
<br />DONALD D. MLHRNG ('ASSIGNOR") for valuable consideration, receipt and sufficiency
<br />of which are hereby acknowledged, as security for the prompt payment of that certain. Promissory
<br />dated April j9, 2012 in the principal amount of Two Hundred Ninety -Seven Thousand Four Hundred
<br />Seventeen and 501100 Dollars ($297,417.50) by and between ASSIGNOR and FARMERS AND
<br />AffikCHANTS BANK (which together with its amendments, renewals, substitutions and extensions is
<br />herein called the "NOTE") does hereby assign tp FARMERS AND MERCHANTS BANK
<br />("ASSIGNEE"), all ofASSIGNOWs right, title and interest in and to the following -
<br />That certain Comerpial Lease Agreement, as amended, ("CQMM�P-VCTp}L LE.ASI,
<br />AGREEMENT") by and between Assignor and Conestoga North. L.L.G., a Nebraska
<br />limited liability company, a copy, of which is attached hereto as Exhibit "A" and
<br />incorporated herein by this reference;
<br />It is,the intention of ASSIGNOR that ASSIGNEE enjoy all of the rights of the Lessee under the
<br />COMW-RCL 6,1- LEAST' AGREEMENT as the result of this Collateral Assignment of Lease_
<br />ASSIGNOR will continue to be responsible to perform all of the obligations and duties of the L.csssco
<br />tinder the COMMERCIAL. LEASE AGREEMENT -
<br />In the event of any default of the NOTE, ASSIGNEE is entitled to take possession of the leased
<br />premises under the COMMERCIAL LEASE AGREEMENT as if ASSIGNEE had originally been
<br />namod therein as the Lessee, and ,shall .become obligated to perform any and all obligations of
<br />ASSIGNOR under the COMMERCIAL LEASE AGREEMENT.
<br />Provided, however, in the event .ASSIONO1R shall :Felly, promptly and completely pay and satisfy
<br />the NOT F> , then these presents to be null and void.

<br />The undersigned, being the Lessor under the -CommQrcial Lease ,Agreement, consents to the above
