<br />Wells Fargo Bank, N.A., successor by merger to WeUs Fargo Bank Minnesota, N.A., solely in its
<br />capacity as trustee (the "Trustee'� of the Trusts (as defined below) hereby constitutes and appoints
<br />Ocwen Loan Servicing, LLC, solely in its capaciry as servicer to the Trusts (the "Servicer"), and any
<br />other officer or agent thereof, with full power of substitution, as its true and Iawful attomey-in-fact with
<br />power and authority in the place and' stead of the Trustee and in the name of the Trustee or in its own
<br />name from time to time in the Servicer's discretion, for the purpose of servicing mortgage loans, to teke
<br />any and all appropriate action and to execute any and all documents and instruments which may be
<br />necessaiy and appropriate to accomplish the purposes qf servicing mortgage loans, and without limiting
<br />the generality of the foregoing, the Trustce hereby gives the Servicer the power and ri�ht, on behalf of the
<br />Trusts, without assent by the Trustee, to do the following, to the extent consistent with the tertns and
<br />conditions of the Pooling and Servicing Agreements attached hereto as Exhibit A(the "Trusts") :
<br />1. To.execute, acknowiedge, seal and deliver deed of ausdmongage note endorsements, lost note
<br />affidaviu, assignments of deed of trust/mortgage and other recorded documents,
<br />satisfactions/releases/reconveyances of deed of trusdmortgage, subordinations and modifications,
<br />tax authoriry notifications and declarations, deeds, bills of sale, and other instruments of sale,
<br />conveyance, and transfer, appropriately completed, with all ordinary or necessary endorsements,
<br />acknowledgments, affidavits, and supporting documents as may be necessary and appropriate to
<br />effect its execution, delivery, conveyance, recordation or filing.
<br />2. To execute and deliver insurance filings and claims, aftidavits of debt, substitutions of trustee,
<br />substitutions of counsel, non-military affidavits, notices of rescission, foreclosure deeds, transfer
<br />tax affidavits, affidavits of inerit, verifications of complaints, notices to quit, bankruptcy
<br />declarations for the purpose of filing motions to lift stays, and other documentsor notice filings
<br />on behalf of the Trustee in connection with insurance, foreclosure, banlwptcy and eviction
<br />actions.
<br />3. To endorse any checks or other instruments received by the Servicer and made payable to the
<br />Trustee.
<br />4. To pursue any deficiency, debt or ocher obligation, secured or unsecured, including but not
<br />limited to those arising from foreclosure or other sale, promissory note or check. This power also
<br />authorizes the Servicer to collect, negotiate or otherwise settle any deficiency claim, including
<br />interest and attorney's fees.
<br />5. To do any other act or complete any other document that arises in the normel course of
<br />servicing.
<br />6. To defend the Trustee in actions and to bring affirmative actions on the Trustee's behalf,
<br />provided that the defense and affirmative actions are undertaken in the best interests of the
<br />Trustee.
