<br />Title to Equipment shall remain in Seller until all amounts owing hereunder are fully paid in cash. This contract
<br />may be assigned by Seller or
<br />the payment thereof renewed or extended, without passing title to Purchaser. When assigned, all rights of Seller shall vest in its assignee and this
<br />contract shall be free from any claims or defenses whatsoever which Purchaser may have against Seller. All payments or other monies then owing
<br />hereunder shall be paid by Purchaser to Seller's assignee without recoupment, set-off or counterclaim, either in law, or in equity, and any payments
<br />otherwise made shall be at the Fisk of Purchaser if not received by Seller's assignee.
<br />Purchaser specifically agrees that Equipment shall at all times and for all purposes be considered personal property, notwithstanding the I manner
<br />or mode of its attachment to real estate. Purchaser further agrees: To pay promptly all taxes and assessments upon Equipment and/or for its use or
<br />operation and/or on this contract; to keep Equipment free from liens; not to sell, transfer or encumber Equipment or use it for hire or illegally; and
<br />not to remove Equipment from the filing district in which located, and not to assign this contract without the consent of Seller. Time is of the essence
<br />hereof. Any notices to Purchaser shall be sufficiently given if mailed to the address of Purchaser shown herein.
<br />The loss, injury or destruction of Equipment shall not release Purchaser from payment hereunder. Purchaser agrees to obtain and keep in
<br />force fire and extended coverage insurance on the Equipment in form, amount and written by insurers satisfactory to Seller. If not furnished by
<br />Purchaser, Seller, as a creditor of Purchaser, is authorized to purchase or renew any and all such insurance, at Purchaser's expense. Purchaser agrees
<br />to pay the cost thereof to Seller on demand and failure to do so shall constitute a default hereunder. Purchaser hereby assigns to Seller the proceeds
<br />of all such insurance (including any refund of premiums) to the extent of the unpaid portion of the Total Time Balance, directs any insurer to make
<br />payment directly to Seller, and authorizes Seller to apply such proceeds to the payment of instalments due or to become due hereunder.
<br />If Purchaser should default in payment of any instalment of the Total Time Balance provided herein at any maturity date, or should fail to
<br />comply with any provisions of this contract, or if a receiver be appointed for Purchaser, or Purchaser make an assignment for the benefit of creditors,
<br />or in the event that a proceeding under the Bankruptcy Act, or any Amendment thereof, be instituted by or against Purchaser, or if the Equipment
<br />be misused, the unpaid portion of the Total Time Balance shall, at Seller's option, become immediately due and payable. Purchaser agrees in any
<br />demand for performance or legal process, lawfully enter upon any premises of Seller, to deliver Equipment to Seller. Seller may, without notice or
<br />of it. Seller may retain all payments made by Purchaser as compensation where any of the Equipment may be located and may take possession
<br />the Equipment at private or public sale (at which Seller may be the for the use of Equipment while in Purchaser's possession. Seller may sell

<br />Purchaser, and that Purchaser has elected and hereby elects to buy the Equipment for the Time Sale Price
<br />shown above and to pay for Equipment in instalments in the manner set forth above.
