<br />under and by virtue of the laws of the State of Delaware, through its President and

<br />Hereby Certifies, that, at a meeting of the stockholders of said corporation
<br />duly called for that purpose by the Board of Directors, and hold at the office of
<br />said corporation, at 12th and Jones Streets, in tho'City of Omaha, Douglas County,
<br />Nebraska, at 2:00 otclock in the afternoon of May 3, 1947, an amendment of the
<br />First Article to the Certificate of Incorporation, having been first declared
<br />advisable -and duly proposed to the stockholders by tho Board of Diroctors of said
<br />corporation and notice of the meeting having boon nailed to the stockholders
<br />entitled to veto setting forth a copy of the amendment in full more than ton (10)
<br />days prior to the date sot for said stockholdorst mooting, was adopted by a roso-
<br />lution of the stockholders of said corporation, at said mooting, by a vote conducted
<br />by judges appointed for that purpose, tt.kcn by ballot and duly cortified, of morel
<br />than a majority of all of the issued and outstanding stock of said corporation
<br />entitled to vote; that said amondmont has boon duly adopted in accordance with the
<br />provisions of the law of Delaware governing corporations, $action 26 of Article I
<br />of Chapter 65 of the Revised Coda of the State of Delaware of 1935, also designated
<br />as Section 2058 of the gencral_,provisions of the Statutes relating to Corporations;
<br />and that a true and correct copy of such amondment so adopted is as follows:

<br />It is further certified that the amendment does not affect any change in the
<br />issued shares of 'said corporation, and that the capital of the corporation vrill not
<br />be reduced under, or by reason of, said amondmcnt.
