CERTIFICATE <br />STATE OF NEBRASKA ) <br />( ss <br />LANCASTER COUNTY ) <br />John L. Hoppe, secretary of HOPPE LUMBER COMPANY OF <br />GRAND ISLAND, a Nebraska corporation, hereby certifies that at a meeting <br />of the board of directors of said corporation duly called and held at Lincoln, <br />Nebraska on January 24, 1957, at which a quorum was present and voted <br />throughout, the following resolution, upon motion made, seconded and carried, <br />was duly adopted as the action of the board and has not subsequently been <br />modified or rescinded, or in any way restricted, and is in full force and <br />effect: <br />"RESOLVED, that Robert R. Rector, manager of the business of <br />the corporation at Grand Island, be, and he hereby is, authorized <br />and empowered to perform any act required under the laws of <br />Nebraska, or of any other state if a case should arise, to make, <br />file or otherwise perfect mechanics' or materialmen's liens, or <br />to release the same upon receipt of payment or full satisfaction; <br />and the making, filing or perfecting of any such liens, or the <br />releasing of any such liens, is hereby ratified and confirmed." <br />Affiant further certifies that there is no provision in the charter <br />or by -laws of Hoppe Lumber Company of Grand Island limiting the power of <br />the board of directors to pass the foregoing resolution, and does certify and <br />warrant that the same is in conformity with the provisions of said charter <br />and the by -laws of the corporation and within the corporate and lawful powers. <br />Subscribed in my presence and sworn to before me this day <br />of 1957. <br />f t.L E ,ll err <br />k <br />L c <br />114 eo <br />�l <br />otary Publi <br />Filed for record March 7, 1957, at 9 :30 A.M. �11_1� <br />Z ✓Register of Deeds <br />Hall County,Nebr. <br />
